CONSIDERANDO:
Las disposiciones del "Tratado sobre los principios que deben regir las actividades de los Estados en la exploración y utilización del espacio
,ultraterrestre, incluso la Luna y otros cuerpos celestes", celebrado el 27 de enero de 1967, del que la Argentina y China son parte,
El Convenio sobre Cooperación Científica y Técnica entre el Gobierno de China y el Gobierno de la Argentina, firmado el 7 xx xxxxx de 1980,
El "Acuerdo Marco de Cooperación Técnica para el Uso Pacifico del Espacio Ultraterrestre entre la Comisión Nacional de Actividades Espaciales (CONAE) de la Argentina y la Agencia Espacial Nácional de China (CNSA) de la República Popular de China", celebrado el16 de noviembre de 2004,
Que los Gobiernos de Argentina y China reconocen la importancia del desarrollo de la ciencia y tecnología espacial en beneficio de sus pueblos y de
toda la humanidad;

Que es de interés de los Gobiernos de Argentina y China, trabajar conjuntamente en el desarrollo de la tecnología espacial con fines pacfficos y cooperar en el campo de las actividades espaciales para beneficio mutuo;
Que el Gobierno de la Xxxxxxxxx Xxxxxxx Xxxxx está llevando a cabo un Programa de Exploración de la Luna, y prevé futuras etapas de exploración de

otros cuerpos celestes del Sistema Solar, en particular el Planeta Xxxxx;
Que para garantizar el éxito del mencionado programa, y con el fin de asegurar visibilidad y dar apoyo desde la Tierra a las misiones interplanetarias y de estudios astronómicos, el Gobierno de China deberá contar, 'además de las instalaciones disponibles en su pafs, con una Estación para seguimiento terrestre, comando y adquisición de datos, incluida una Antena para la investigación del espacio Lejano, en América del Sur;
Que la Argentina manifiesta su firme voluntad de contribuir al programa de Exploración Lunar del Gobierno de China, facilitando la instalación de una estación, en su territorio, que formara parte de la red de Telemetria, Seguimiento y Comando de ese país;
Que el Gobierno de China ha identificado que el territorio de la Provincia del Neuquén, Argentina, es el que reúne las condiciones más favorables para alojar una estación de espacio lejano, en América del Sur;
Que, asimismo, para arribar a la conclusión precedente, el Gobierno de China, a través del Centro de Lanzamiento, Seguimiento y Control (CLTC), organismo chino responsable de la Red China de Comunicaciones dei Espacio Lejano, ha tenido en cuenta las capacidades espaciales de la República Argentina, a través de las actividades desarrolladas por la Comisión Nacional de Actividades Espaciales (CONAE),

Que es de interés para el Gobierno de la Argentina poder dar apoyo y fomentar el crecimiento nacional de las capacidades vinculadas al desarrollo científico tecnológico que generará el proyecto, teniendo en cuenta que la CONAE se beneficiará con el acceso a un mínimo xxx xxxx (10) por ciento del tiempo de uso de la antena para desarrollar proyectos propios.
Que la Provincia del Neuquén, reconociendo el beneficio socioeconómico y cientffico tecnológico de alojar una Estación del Espacio Lejano en su territorio, puso a disposición del proyecto una parcela de tierra en el área identificada como la más propicia;
Que a fin de sentar fas bases mínimas para hacer víable el proyecto, se suscribieron dos instrumentos, a saber:
1) El Acuerdo de Cooperación en el ámbito del Programa Chino de Exploración de la Luna entre la China Satellite Launch and Tracking Control General (CLTC) y la Comisión Nacional de Actividades Espaciales (CONAE) para establecer las condiciones que rigen la implantación de las instalaciones de seguimiento terrestre, comando y adquisición de datos, incluida una antena para investigación del espacio lejano en la provincia del Neuquén, Argentina, firmado el 20 de julio de

2) El Acuerdo de Cooperación en el marco del Programa Chino de Exploración de la Luna entre la China Satellite Launch and Tracking Control General (CLTC), la Comisión Xxxxxxxx xx Xxxxxxxxxxx Xxxxxxxxxx (XXXXX) x xx Xxxxxxxxx xxx Xxxxxxx para establecer las condiciones que rigen al implantación de las instalaciones de seguimiento terrestre, comando y adquisición de datos, incluida una antena para investigación del espacio lejano en la provincia del Neuquén, Argentina, firmado el 28 de diciembre de 2012 y sus anexos.
Que, para concretar de forma definitiva el mencionado Proyecto resulta conveniente proceder a la instrumentación del presente Acuerdo de Cooperación acordándose, a tal fin, beneficios impositivos, aduaneros, migratorios y consulares, entre otros.
Las partes, ACUERDAN el siguiente articulado:
Articulo 1 OBJETO

Las partes acuerdan cooperar para la construcción, el establecimiento y operación de Instalaciones de Seguimiento Terrestre, Comando y Adquisición de Datos, incluida una Antena para Investigación del Espacio Lejano en el territorio de la Provincia del Neuquén, República Argentina. Las Instalaciones serán construidas y operadas por China con el fin de brindar soporte terreno a las misiones de Exploración del Espacio Lejano.
Articulo 2 DESGRAVACIONES IMPOSITIVAS
Todas las operaciones de comercio exterior, realizadas por el Gobierno de China, para el establecimiento, construcción y operación de la estación del espacio lejano en la Provincia del Neuquén, as! como también las compras y contrataciones de bienes, obras, locaciones o prestaciones de servicios realizadas en la Argentina, estarán exentas de todo impuesto y/o derecho aduanero, los impuestos internos, así como también de los impuestos nacionales al consumo, incluido el IVA. .
Artículo 3
VIGENCIA Y APLICACIÓN DE LA NORMATIVA GENERAL

1. El Gobierno de China llevará a cabo sus actividades en Argentina de acuerdo con las leyes y reglamentaciones nacionales de la Argentina, las leyes y reglamentaciones de la Provincia del Neuquén, y las disposiciones previstas

2. El Gobierno de China declara que las obligaciones y derechos que se reconocen en el presente Acuerdo de Cooperación son aplicables y deberán ser cumplidos por el Centro de Lanzamiento, Seguimiento y Control (CLTC), organismo Chino responsable de la construcción y operación de la Red China de comunicaciones del Espacio Lejano.
3. El Gobierno de Argentina no interferirá ni interrumpirá las actividades normales que se lleven a cabo en virtud del presente Acuerdo de Cooperación. Sin perjuicio de lo anterior, en caso de que la Argentina deba tomar decisiones que puedan interferir con las actividades de China, se compromete a informar a ésta con la debida anticipación, así como a explorar soluciones alternativas, cuando sea necesario, a fin de asegurar que tales actividades no se vean sustancialmente afectadas. .
Ar1ículo4 CUESTIONES MIGRA TORJAS
. El Gobierno argentino facilitará la tramitación de los permisos de ingreso y/o la emisión de visas en las categorfas correspondientes, de acuerdo con la normativa vigente. '
Artículo 5
RÉGIMEN LABORAL
MREyC 1. Las relaciones laborales necesarias para la ejecución del objeto del presente Acuerdo se regirán por la xxx xxx xxxxx de ejecución del contrato, sin perjuicio
de las reglas establecidas en el presente.
En todos los casos, la Argentina ejercerá las potestades correspondientes al poder de policra en materia laboral y de seguridad e higiene, previsto en la normativa aplicable.
El Gobierno de China, en consecuencia, se compromete a cumplir con las reglamentaciones vigentes en la Argentina, en materia de poder de policra laboral, seguridad e higiene del trabajo.
2. Las remuneraciones y otros ingresos, abonados por el Gobierno de China a los empleados de nacionalidad China, que trabajen en el proyecto, se regirán por la legislación del país de origen, siempre y cuando se respeten los derechos laborales consagrados en el presente.
ArtIculo 6
INDEMNIDAD
El de la Argentina no se responsabiliza, nacional o

internacionalmente, en razón de las actividades del Gobierno de China en su territorio vinculadas al proyecto, sea por acción u omisión de ésta, o de sus representantes. El Gobierno de China mantendrá indemne a Argentina de toda obligación que surgiere de reclamos de cualquier naturaleza, a pedido e instancia de terceros, corno consecuencia de tales actos u omisiones.
Artículo 7
SOLUCiÓN DE CONTROVERSIAS
Toda controversia relativa a la interpretación y aplicación del presente acuerdo o que surja durante la ejecución del mismo se dirimirá amigablemente a través de los correspondientes canales diplomáticos.
Articulo 8 VIGENCIA
1. El presente Acuerdo tendrá una vigencia de cincuenta (50) años. Las Partes se notificarán mutuamente por escrito a través xx xxxxxxx diplomáticos, una vez que se hayan completado los procedimientos internos necesarios para la entrada en vigor del presente Acuerdo. El mismo, entrará en vigor en la fecha de recepción de la última notificación escrita entre las partes.

2. Las enmiendas de cualquier artIculo del presente acuerdo serán acordadas entre las Partes por escrito y entrarán en vigor de acuerdo con lo establecido en el primer párrafo del presente artículo.
3. El plazo de vigencia del presente acuerdo puede ser extendido mediante negociaciones entre las Partes. La parte que desee extender el plazo de vigencia deberá notificar a la otra parte con una antelación de al menos tres (3) años previos al vencimiento del presente acuerdo.
4. Cada una de las partes tendrá derecho a terminar el presente acuerdo con justa causa, debidamente acreditada. En especial, constituirá causal de terminación la circunstancia por la cual una de las Partes incurriese en una violación de una disposición esencial del Acuerdo que imposibilite la consecución del mismo. La parte peticionante deberá notificar a la otra parte por escrito con al menos cinco (5) años de antelación.
5. En el caso de la terminación anticipada, las partes firmarán un acuerdo luego de realizar las consultas correspondientes relacionadas con la finalización y harán su mayor esfuerzo para minimizar el impacto negativo de la terminación.

The Framework Agreement between the National Commission of Space Activities (CONAE) of Argentina and th~ China National Space Agency (CNSA) of the People's Republic of China for Technical Cooperation for the Peaceful Exploitation of Outer Space signed on November 16, 2004,
That the Governments of Argentina and China recognize the importance of the development of space science and technology for the beneftt of their people and the whole of humanity,
That it is in the interest of the Governments of Argentina and China to work jointly on the development of space technology for peaceful purposes and to cooperate in the field of space activities for their mutual benefit,
That the Government of the People's Republic of China ís conducting a Moon Exploration Program and contemplates future stages of exploration of

That the Government of China has identified that the territory of the Province of Neuquén, Argentina, presents the most favorable conditions to host a deep space station in South America,
That, furthermore, in order to reach the conclusion aboye, the Government of China, through the SatelJite Launch and Tracking Control General (CL TC), the Chinese body responsible for the Chínese Deep Space Communications Network, has taken ¡nto account the space capabilities of the Republic of Argentina, through the activities developed by the National Commission of Space Activities (CONAE), .

That it is in the interest of the Government of Argentina to support and promote the national growth of the capabilities related to the scientific and technological development to be generated by the project, consideringthat CONAE will be granted access to a minimum of ten (10) percent of the antenna usage time to develop its own projects.
That the Province of Neuquén, recognizing the social, economic, scientific and technologícal benefits of hosting a Deep Space Station in its territory, made available to the project a plot of land in the area identified as the mast favorable;
That, in arder to establish the foundation for project feasibility, two instruments have been executed:
1. The Cooperation Agreement in the Framework ofthe Chinese Program for Moon Exploration between the China Satellite Launch and Tracking Control General (CLTC) and the Natíonal Commission of Space Activities (CONAE) of the Argentine Republic to Establish Ground Tracking, Command and Data Acquisition Facilities, including the conditions that govem the construction of the facilities for ground tracking, command and data acquisition, including a Deep Space Antenna, in the province .of Neuquén, Argentina, signed on JiJly 20,2012, and its Annexes.
2. The Cooperation Agreement within the Framework of the Chinese Program for Moon Exploration between the China SatelJite Launch and Tracking Control General (CLTC) of the People's Republic of China, the National Commission on Space Activities (CONAE) of the Argentine

That in order to concretize the aforesaid Project it is convenient to implement this Cooperation Agreement by establishíng grant tax, customs, migration and consular benefits, among others.
The parties AGREE to the following:
Artlcle 1
OBJECTIVE
The Partíes agree to cooperate for the construction, establishmenJ and operation of Ground Tracking, Command and Data Acquisition Facilities, including a Deep Space Antenna, in the territory of the Neuquén Province, Argentine Republic. The Facilities will be built and operated by China to provide ground support to Deep Space Exploration Missions.
Article 2 TAX EXEMPTIONS

Every foreign trade operation conducted by the Government of China for the establishment, construction and operation of the deep space station in the Province of Neuquén, as well as the acquisitions and contracting of goods, works, services made in Argentina, shall be exempted from every tax and/or Customs duty, domestic taxes, as well as national taxes on consumption,
including VAT.
Article 3
. VALiOITY ANO APPLlCATION OF GENERAL RULES
1. The Government of China shall conduct its activities in Argentina in accordance with the national laws and regulations of Argentina, the laws and regulations of the Province of Neuquén, and the provisions included in the Inter-lnstitutional Cooperation Agreements, signed in due time.
2. The Government of China declares that all rights and obligations recognized in this Cooperation Agreement are applicable and must be fulfilled by the Satellite Launch and Tracking Control General (CLTC), the Chinese organization responsible for the construction and operation of the Chinese Deep Space Network.

activities carried out in accordance with this Cooperation Agreement. ~ "'c",
Notwithstanding the foregoing, should Argentina have to make decisions \~\' .... l'

Article 4 MIGRATION MATTERS
The Government ofArgentina shall grant the appropriate entry permits and visas, through simplified procedures, in the corresponding legal category to the Chinese staft assigned to the performance of this agreement.
Article 5 LABOUR REGULATIONS
1. Working relations necessary for the execution of the object of this Agreement shall be governed by the laws of the place in which this agreement is performed, notwithstanding the established rules in the present agreement.
Argentina shall retain the powers as enforcement authority for all labour, health and safety matters, in accordance with applicable regulations.

safety.
2. Wages and other income payments made by the Government of China to Chinese employees working on the project shall be governed by the laws of their country of origin provided that employment rights hereby established are respected.
Article 6
INDEMNITY
The Government of Argentina shall not be liabte, nationally or internationally, for any project-related activity performed by the Government of China in Its territory, be it through act or failure to act by China or its representatives. The Government of China shall hold Argentina harmless of any duties arising from claims of any nature, at the request of a third party, as a consequence of such acts or omissions.

DISPUTE SETTlEMENT
AH disputes related to the interpretation and application of this agreement arising during its execution shall be settled by friendly consultations through the pertinent díplomatic channels.
Artiele 8 EFFECTIVE TERM
1. This Agreement shall be effective for fifty (50) years. The Parties shall notify each other in writing through diplomatic channels, once the internal procedures necessary for the entry into force of this agreement have been completed. This agreement shall become effective upon receipt of the last written notification among the partíes.
2. The amendments of any article of this agreement xxxX be agreed' upon between the Parties in writing and shall be effective in accordance with the first paragraph of this article.

3. The effective term of this agreement can be extended through negotiations between the Parties. The party wishing to extend the effective term shall notify the other party at least three (3) years prior to the expiration of this agreement.
4. Each party shall have the right to termínate this agreement for a just cause duly proven. In particular, any circumstance by which one of the Partíes breaches a crucial provision of this Agreement, thus preventing its completion, shall be considered a cause for termination. The petitioner shall notify the other party in writing at least five (5) years in advance.
5. In the event of early termination, the parties shall sign an agreement following appropriate consultations related to the termination of this Agreement and shal! make their best efforts to minimize the negative impact of such termination.
