XXXX XXXXX IBERICA SA ("VENDEDOR") ACEPTARÁ EL PEDIDO DEL COMPRADOR AL QUE SE HACE REFERENCIA EN EL PRESUPUESTO ADJUNTO AL PRESENTE DOCUMENTO A CONDICIÓN DE QUE EL COMPRADOR DÉ SU CONSENTIMIENTO A LAS CONDICIONES QUE SE ESTABLECEN A CONTINUACIÓN Y EN CUALESQUIERA DOCUMENTOS QUE SE ACOMPAÑEN Y RENUNCIE A LA APLICACIÓN DE CUALQUIER CONDICIÓN QUE DIFIERA DE LAS INDICADAS. SERÁ PRUEBA DE DICHO CONSENTIMIENTO Y RENUNCIA DE OTRAS CONDICIONES EL PEDIDO DEL COMPRADOR (NO SIENDO APLICABLE NINGUNA CONDICIÓN CONTRARIA A LAS INDICADAS QUE PUDIERA HACERSE CONSTAR EN EL MISMO) O LA ACEPTACIÓN DE LA ENTREGA DEL PRIMER ENVÍO RELACIONADO CON EL PRESENTE.
Xxxx Xxxxx Xxxxxxx, S.A. Sales Terms and Conditions
XXXX XXXXX IBERICA SA ("SELLER") WILL ACCEPT BUYER'S ORDER REFERRED TO ON THE ACCOMPANYING QUOTATION ON CONDITION THAT BUYER ASSENTS TO THE TERMS AND CONDITIONS SET FORTH BELOW AND ON ANY ACCOMPANYING DOCUMENT(S) AND WAIVES ANY DIFFERING TERMS OR CONDITIONS. SUCH ASSENT AND WAIVER IS EVIDENCED EITHER BY BUYER'S PURCHASE ORDER (ANY CONTRARY TERMS OR CONDITIONS OF WHICH SHALL BE DISREGARDED) OR BY ACCEPTING DELIVERY OF THE FIRST SHIPMENT HEREUNDER
1. Condiciones de pago y envío.
Los pagos se realizarán en el plazo de 30 días, desde que el producto está en las instalaciones del Vendedor en condiciones FCA, salvo que se indique expresamente lo contrario en el presupuesto adjunto. El retraso en el pago de cualquier cantidad dará lugar al cobro de intereses de demora al tipo de interés publicado por el Ministerio de Economía y Hacienda español de acuerdo con el artículo 7 de la Ley 3/2004. Dichos intereses se devengarán diariamente sobre el saldo que esté pendiente de pago, hasta su total satisfacción. No obstante, el importe de los intereses de demora no excederá del máximo legalmente permitido.
1. Payment and Shipping Terms.
Terms are net 30 days, FCA Seller’s Facility, unless expressly provided to the contrary on the accompanying quotation. Any amount not timely paid shall bear the legal interest for late payment as published by the Spanish Ministry of Economics and Finance according to Article 7, law 3/2004, accrued on a daily basis computed on the outstanding balance until paid in full; provided, however, that such late charges shall not exceed the maximum amount allowed by law.
2. Título de propiedad y riesgo de pérdida.
El título de propiedad de los productos se transmitirá únicamente después de realizado el pago del precio total de compra. No obstante lo que antecede, la totalidad del riesgo de pérdida del producto recaerá sobre el Comprador desde el momento de la entrega de los productos por el Vendedor a un transportista público o cualquier otro medio de transporte.
2. Titles and Risk of Loss.
Title to products shall pass only upon payment of the full purchase price. Notwithstanding the foregoing, all risk of loss shall be borne by Buyer from the time of delivery of the products by Seller to a public carrier or other manner of transportation.
3. Herramientas.
Los gastos por dotación de herramientas, matrices y otros equipos cubren solamente una parte de su coste y la propiedad y el derecho exclusivo de posesión y uso de los mismos pertenecerán en todo momento al Vendedor y no pasarán al Comprador.
3. Tooling.
Charges for tools, dies and other equipment cover only a portion of their cost and ownership and sole right to possession and use thereof shall not pass to Buyer but shall remain in Seller
4. Cancelación.
El Vendedor se reserva el derecho, además de cuantas otras acciones le correspondan, a cancelar sin responsabilidad alguna este pedido o a negarse a realizar el envío en el supuesto de que (a) el Comprador incurra en incumplimiento de cualquiera de sus obligaciones económicas o de cualquier otra naturaleza que adquiere frente al Vendedor por el presente Contrato o por cualquier otro; (b) el Comprador se declare insolvente o sea objeto de un procedimiento concursal (o cualquier otro procedimiento similar), conforme a lo previsto por la legislación aplicable; o (c) por causas ajenas al control del Vendedor que le impidan garantizar el puntual cumplimiento del presente Contrato. El Comprador podrá cancelar la parte no ejecutada de su pedido solo con el previo consentimiento por escrito del Vendedor y una vez que haya abonado íntegramente el precio de la parte del pedido que el Vendedor hubiera ejecutado esencialmente hasta el momento de la cancelación , más los gastos razonables de cancelación, que incluirán el beneficio completo más todos los gastos causados en relación con la parte cancelada del pedido, como por ejemplo, los gastos generales y administrativos, los compromisos asumidos por el Vendedor como consecuencia del pedido del Comprador y el coste de todo el trabajo en curso. Los gastos de cancelación no excederán del precio de compra de la parte cancelada del pedido.
4. Cancellation.
Seller at its option and in addition to its other remedies may without liability cancel this order or refuse shipment, if (a) Buyer is in default in any payments or other performance due Seller under this or any other agreement (b) Buyer becomes insolvent or a petition in bankruptcy is filed with respect to Buyer (or similar event), to the extent permitted by applicable law, or (c) causes beyond Seller's control make it impossible to assure its timely performance. Buyer may cancel the remaining unfilled portion of its order only upon written consent of Seller and pa yment of the full price for that portion of the order that Seller has substantially completed at time of cancellation plus reasonable cancellation charges which shall include the full profit plus all costs incurred in connection with the canceled portion of the order such as overhead and administrative costs, commitments made by Seller as a consequence of Buyer's order and the cost of all work-in-progress. Cancellation charges shall not exceed the purchase price of the canceled portion of the order.
5. Precio.
El Vendedor se reserva el derecho a rectificar las cantidades o los precios cuando se detecten errores tipográficos, administrativos o matemáticos. El precio indicado en el presupuesto o en la confirmación del Vendedor está calculado de acuerdo con los costes actuales del Vendedor. Si los costes se incrementasen durante la vigencia de este pedido, se notificará al Comprador cualquier ajuste que se realice al precio; no obstante, no se realizará ningún ajuste al precio sin la aceptación del Comprador con respecto a los pedidos cuya entrega vaya a realizarse dentro de los 30 días siguientes a la fecha del presupuesto. El Comprador reembolsará al Vendedor los impuestos indirectos, sobre ventas, consumo o cualquier otro impuesto con que se grave esta operación y sea exigible al Vendedor o el Vendedor deba recaudar por ley.
5. Price.
Seller reserves the right to correct quantities or prices due to typographical, clerical, or mathematical errors. The price stated in Seller's quotation or acknowledgment is based upon Seller’s current costs. If costs increase during the life of this order, Xxxxx will be notified of any adjustment of the price; provided, however, that no price adjustment will be made without Buyer's agreement on orders for delivery within 30 days of the date of a price quotation. Buyer shall reimburse Seller for any excise, sales, use or other taxes incident to this transaction for which Seller may be liable or which Seller is required by law to collect.
6. Entrega y fuerza mayor.
Las fechas de entrega son únicamente estimativas. El Vendedor no se hace responsable en caso de incumplimiento total o parcial de la entrega o de retraso en la entrega o la fabricación por causas ajenas a su control y en particular, aunque no exclusivamente, casos fortuitos, actos del Comprador, guerra o desórdenes civiles, prioridades, incendio, huelga, desastres naturales, retrasos en el transporte o imposibilidad de obtener la mano de obra o los materiales necesarios. El Vendedor no será responsable en ningún caso de los xxxx os, incluidos daños directos, especiales, indirectos o consecuenciales, que se produzcan como consecuencia del incumplimiento de la entrega o retraso en la entrega con independencia de la causa.
El Vendedor podrá asimismo cancelar este pedido mediante notificación por escrito al Comprador en cualquier momento si: (i) España anunciase públicamente que: (A) tiene intención de salir o ha salido de la Unión Europea o de la Unión Económica y Monetaria Europea, o (B) tiene intención de sustituir o ha sustituido el euro por una moneda nacional (los supuestos A y B recibirán en adelante la denominación de “Supuesto de Conversión”); y (ii) las disposiciones de este pedido fueran (o se pretende que sea) modificados sin el consentimiento del Vendedor (incluso en aplica ción de una ley o normativa) con el objeto de que la moneda de las obligaciones económicas estipuladas en el presente pedido pase de ser el euro a una moneda nacional.
6. Delivery and Force Majeure.
Delivery dates are estimates only. Seller shall not be liable for any total or partial failure to deliver or for any delay in delivery or production due to causes beyond its control, including but not limited to acts of God, acts of Buyer, war or civil unrest, priorities, fires, strikes, natural disasters, delays in transportation, or inability to obtain necessary labor or raw materials. Seller shall not be liable in any event for any costs, including but not limited to direct, special, indirect or consequential damages on account of failure or delay in delivery regardless of the cause.
Seller may also terminate this order by written notice to the Buyer at any time if: (i) Spain makes a public announcement that: it (A) It intends to withdraw or has withdrawn from the European Union, and/or the European Economic and Monetary Union; or (B) it intends to replace or has replaced the Euro with a domestic currency (A and B hereinafter, called as the “Conversion Event”); and (ii) the provisions of this order are (or are intended to be) amended without the consent of Seller (including pursuant to statute, regulation or law) wi th the effect that the currency of the relevant payment obligations under this order are converted from Euro to a domestic currency
7. Garantía de cumplimiento.
Si el Comprador se retrasara en algún momento en la realización de cualquier pago o la situación crediticia del Comprador se deteriorara o resultara insatisfactoria, el Vendedor podrá, además de cuantas otras acciones le correspondan, cancelar el crédito del Comprador, suspender el cumplimiento del presente y exigir la entrega de efectivo, de un aval o de cualquier otra garantía adecuada de pago que considere satisfactoria.
7. Assurance of Performance.
If Buyer is delinquent in payment at any time, or Xxxxx'x credit becomes impaired or unsatisfactory, Seller may, in addition to its other remedies, cancel Buyer's credit, stop further performance, and demand cash, security or other adequate assurance of payment satisfactory to it.
8. Garantía limitada.
El Vendedor garantiza durante un periodo de un año desde el envío original realizado por el Vendedor (o para los Sellos de Gas Tipo 28, 12 meses desde la instalación o bien 24 meses desde el envío original del Vendedor) que sus productos están libres de defectos de material o fabricación. El Vendedor reparará o, si lo prefiere, sustituir gratuitamente cualquier producto que descubra dentro de dicho periodo de garantía que es defectuoso y que está cubierto por esta garantía, a la devolución del mismo, transporte pagado, al lugar especificado por el Vendedor. No se aceptarán devoluciones sin la previa autorización del Vendedor. La que antecede es la única garantía que da el Vendedor y será la única responsabilidad exigible por el Comprador Y SUSTITUYE A CUALESQUIERA OTRAS GARANTÍAS, EXPRESAS O IMPLÍCITAS, INCLUIDAS LAS GARANTÍAS DE COMERCIABILIDAD E IDONEIDAD PARA UN FIN DETERMINADO. SIN QUE LIMITE EL CARÁCTER GENERAL DE LO QUE ANTECEDE, Y EN LA MÁXIMA MEDIDA LEGALMENTE PERMITIDA, EL VENDEDOR NO SERÁ RESPONSABLE DE LA PÉRDIDA DE USO O DE BENEFICIOS; DE NINGÚN TIPO DE DAÑOS ESPECIALES, INDIRECTOS, CONSECUENCIALES O EJEMPLARIZANTES; DE DEFECTOS DE DISEÑO O INGENIERÍA, ESTÉN A SU CARGO O A CARGO DE OTROS, NI DE NINGUNA CANTIDAD QUE SUPERE EL PRECIO NETO APLICADO POR EL VENDEDOR AL PRODUCTO EN CUESTIÓN Y QUE SE ALEGUE QUE ES RESULTANTE DE UN INCUMPLIMIENTO DE CONTRATO O DE GARANTÍA,
NEGLIGENCIA, RESPONSABILIDAD OBJETIVA O CUALQUIER OTRO MOTIVO. Esta disposición no se entenderá como una no aceptación o una limitación de la responsabilidad del Vendedor en caso de negligencia grave o dolo o de daños personales o muerte causados por negligencia grave o dolo del Vendedor, sus empleados o sus agentes.
8. Limited Warranty.
Seller warrants for a period of one year following original shipment by Seller (or for Type 28 Gas Seals 12 months from installation or 24 months following original shipment by Seller, whichever occurs first) that its products are free from defects in material or workmanship furnished by Seller. Seller will repair or at its option replace free of cha rge any product found by it within such warranty period to be defective in breach of said warranty upon return thereof transportation prepaid to the location specified by Seller. No returns will be accepted without prior written authorization by Seller . The Foregoing is Seller’s sole warranty and Xxxxx’x exclusive remedy and IS IN LIEU OF ALL OTHER WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED WHICH ARE HEREBY EXCLUDED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM PERMITED BY LAW SELLER SHALL NOT BE LIABLE FOR LOSS OF USE OR PROFITS OR FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, PUNITIVE OR OTHER DAMAGES OF ANY KIND, DAMAGES, OR FOR DEFECTS IN DESIGN OR ENGINEERING WHETHER PERFORMED BY IT OR BY OTHERS, OR FOR ANY AMOUNTS IN EXCESS OF SELLER'S NET PRICE OF THE PRODUCT IN QUESTION WHETHER SUCH AMOUNTS
ARE CLAIMED TO RESULT FROM BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE. This provision shall not be construed as an exclusion or limitation of the Seller`s liability in case of gross negligence or willful conduct or for damages deriving from death or personal injuries where caused by gross negligence or willful conduct of the Seller, its employees, or agents.
9. Estimaciones de producción o rendimiento.
Los niveles de producción o rendimiento suministrados por el Comprador pueden depender de diversos factores variables, por lo que no se garantizan resultados o estimaciones.
9. Production Performance Estimates.
Any production or performance standards furnished by Buyer may depend on several variable factors, and as such no results or estimates are guaranteed
10. Cumplimiento de la normativa legal y avisos.
En aquellos casos en que el Vendedor proporcione información sobre prevención de riesgos laborales, notas de aviso o instrucciones en relación con la instalación, el uso o el mantenimiento, incluido el mantenimiento preventivo, de sus productos (y el Vendedor no asume ninguna obligación de hacerlo), el Comprador se compromete a cumplir íntegramente la información, los avisos y las instrucciones que reciba. Asimismo, el Comprador se compromete a comunicar toda esta información, avisos e instrucciones a sus empleados, agentes y subcontratistas así co mo a los posteriores compradores y usuarios de esos productos. El Comprador cumplirá toda la normativa legal que sea de aplicación. El Comprador eximirá al Vendedor de toda responsabilidad que pudiera derivarse del cumplimiento de esta cláusula.
10. Compliance with Laws and Warnings.
In those instances in which Seller provides health or safety information, warning statements, and/or instructions in connection with the installation, use or maintenance, including preventive maintenance, of its products (and Seller assumes no obligation to do so), Xxxxx agrees to comply with all such information, warnings and instructions. Buyer further agrees to communicate all such information, warnings and instructions to its employees, agents and subcontractors, and to subsequent buyers and users of those products. Buyer will comply with all applicable laws. Xxxxx will indemnify and hold Seller harmless for Xxxxx’x breach of these terms and conditions.
11. Reparaciones: lapeado.
El Vendedor no tendrá ninguna responsabilidad por la degradación o el daño que pueda sufrir cualquiera de los productos, piezas o existencias suministrados para lapeado o reparación. Además de la responsabilidad excluida indicada en la cláusula 8 del presente, la responsabilidad del Vendedor se limitará a los casos en que incurra en negligencia y solamente en forma de cancelación de los gastos por lapeado o reparación de los productos, las piezas o las existencias degradados o dañados.
11. Repairs: Job Lapping.
Seller shall have no liability whatsoever for spoilage or damage to any products, parts or stock furnished for lapping or repair. In addition to the specific exclusions in paragraph 8 above, Seller's liability shall be limited to cases of its negligence, and then only to the extent of cancellation of its charges for lapping or repairing the spoiled or damaged parts, products or stock.
12. Confidencialidad.
Toda la información y las ideas técnicas y comerciales que el Vendedor haya proporcionado o proporcione al Comprador, excluida la información que sea de dominio público o que estuviera legítimamente en poder del Comprador de forma tangible antes de recibir dicha información del Vendedor ("información confidencial") pertenecen exclusivamente al Vendedor y se comunican al Comprador en secreto y con la finalidad exclusiva de ayudar al Comprador en la evaluación o el uso de los productos del Vendedor. El Comprador no podrá revelar o facilitar, sin el previo consentimiento por escrito del Vendedor, dicha información confidencial a ninguna otra persona ni podrá utilizar dicha información confidencial si no con ese fin exclusivo. Toda la información confidencial deberá ser devuelta al Vendedor cuando este lo requiera y, en cualquier caso, cuando el Comprador ya no la necesite en relación con los productos del Vendedor. Además de cu antas otras acciones correspondan al Vendedor, el Comprador reconoce que los beneficios o los frutos que obtenga el Comprador de cualquier uso no autorizado de información confidencial, serán propiedad exclusiva del Vendedor.
12. Confidentiality.
All technical and commercial information and ideas which Seller has supplied or shall supply Buyer, but excluding information in the public domain or properly in Buyer's possession in tangible form before receiving such information from Seller, ("confidential information") is proprietary to Seller and is disclosed to Buyer in co nfidence for the limited purpose of assisting Buyer in the evaluation or use of Seller's products. Buyer shall not without Seller's prior written consent, disclose or make available such confidential information to any other person or use such confidential information except for such limited purpose. All confidential information shall be returned to Seller on demand, and, in any event, when no longer needed by Buyer in connection with Seller's products. In addition to Xxxxxx'x other remedies, Xxxxx agrees that any benefit or property derived by Xxxxx from any unauthorized use of confidential information shall be the sole and exclusive property of Seller.
13. Entregas incompletas.
Las reclamaciones por entregas incompletas deberán realizarse dentro de los cinco días siguientes a la recepción de los productos. Las reclamaciones por cualquier otra causa deberán formularse en un plazo de 30 días desde la fecha de envío (a excepción de las reclamaciones de defectos cubiertos por la garantía, que se rigen por lo dispuesto en la cláusula 8).
13. Shortages.
Claims for shortages must be made within five days after receipt of goods. All other claims must be made within 30 days of shipping date (except for warranty claims, which are governed by Paragraph 8 above).
14. Patentes.
El Comprador protegerá y eximirá al Vendedor de toda responsabilidad que se le reclame con relación a patentes, diseños, secretos comerciales, derechos de auto r o nombres comerciales con respecto a productos fabricados total o parcialmente conforme a diseños o especificaciones del Comprador, incluidos costes, gastos, honorarios de abogado, pérdidas, daños o cantidades abonadas para satisfacción extraprocesal.
14. Patents.
Buyer will protect and indemnify Seller against all claims arising out of patents, designs, trade secrets, copyrights, or trade names with respect to products manufactured wholly or partially to Buyer's designs or specifications, including any costs, expenses, loss, attorneys' fees, settlement payments, or damages
15. Contratos con administraciones públicas.
Si los productos adquiridos por el presente fueran a utilizarse en un contrato con cualquier administración pública nacional, el Vendedor cu mplirá todos los requisitos que establezca dicha administración que sean aplicables al Vendedor, siempre que el Comprador informe previamente por escrito al Vendedor de dichos requisitos con antelación suficiente para permitir su cumplimiento.
15. Government Contracts.
If the items purchased hereunder are to be used in fulfilling a contract with any national government, Seller will comply with all mandatory provisions required by such government applicable to Seller, provided that Buyer gives Seller written notice of such provisions in sufficient time to permit compliance.
16. Modificaciones y continuidad de la vigencia del Contrato.
Ninguna ampliación, modificación o corrección de los términos y condiciones establecidos en el presente tendrá validez si no consta por escrito y lleva la firma del representante autorizado del Vendedor. Las cláusulas 3, 4, 6, 8, 10, 11, 12, 14, 16, 17, 18, 19, 20 y 21 seguirán siendo de obligado cumplimiento después de la extinción de las presentes condiciones.
16. Amendments and Survival.
No addition to, modification or revision of the terms and conditions contained herein shall be valid unless in writing, and signed by duly authorized representative of Seller. Sections 3, 4, 6, 8, 10, 11, 12, 14, 16, 17, 18, 19, 20 and 21 shall survive the expiration or termination of these terms and conditions.
17. Legislación aplicable y nulidad parcial.
El presente Contrato se regirá por la legislación española y las partes acuerdan someterse a la jurisdicción exclusiva de los Tribunales de Madrid. Si una disposición del presente fuera declarada ilegal o ineficaz, esta declaración no afectará al resto de disposiciones, que seguirán teniendo plena validez y eficacia. El Vendedor y el Comprador reconocen y acuerdan que no será de aplicación a es te pedido el Convenio de Naciones Unidas relativo a los Contratos en la Compraventa Internacional de Bienes.
17. Governing Law and Severability.
This agreement is subject to the laws of Spain and the Parties hereby submit to the exclusive jurisdiction of the Courts of Madrid . If any term or condition hereof is found to be illegal or unenforceable, the balance hereof shall remain in full force and effect. Both Seller and Xxxxx acknowledge and agree that the UN Convention on Contracts for the International Sale of Goods shall not apply to this order.
18. Código de conducta.
El Vendedor se compromete a ejercer su actividad de forma ética y dentro de la legalidad. A tal fin, el Vendedor a través de su sociedad dominante última, Smiths Group plc, mantiene un Códi go de Responsabilidad Corporativa y Ética Empresarial y mecanismos para la denuncia de conductas contrarias a la ética o la legalid ad. El Vendedor espera que el Comprador desarrolle asimismo su actividad de forma ética y dentro de la legalidad. Si el Comprador tuviera motivos para creer que el Vendedor o cualquiera de sus empleados o agentes se ha comportado de forma contraria a la ética o la legalidad en relación con las presentes condiciones, se ruega que denuncie dicho comportamiento al Vendedor o a Smiths Group plc. El Código de Responsabilidad
Corporativa y Ética Empresarial de Smiths Group plc y los mecanismos que tiene para la comunicación de dichas conductas pueden consultarse en xxx.xxxxxx-xxxxx.xxx.
18. Code of Conduct.
Seller is committed to conducting its business ethically and lawfully. To that end the Seller, through its ultimate parent company, Smiths Group plc, maintains a Code of Corporate Responsibility and Business Ethics and mechanisms for reporting unethical or unlawful conduct. The Seller expects that the Buyer will also conduct its business ethically and lawfully. If the Buyer has cause to believe that the Seller or any employee or agent of the Seller has behaved unethically or unlawfully under, or in connection with, these terms and conditions, Buyer is encouraged to report such behavior to the Seller or to Smiths Group plc. Smiths Group plc’s Code of Corporate Responsibility and Business Ethics and mechanisms for making such reports are available on xxx.xxxxxx-xxxxx.xxx.
19. Normativa en materia de exportación y control de destino.
Si los productos, las tecnologías o el software objeto del presente se exportan desde el país de residencia del Vendedor, solo podrán ser exportados de acuerdo con las leyes y normativas de dicho país, quedando prohibida toda actividad contraria a dichas leyes. El Comprador no exportará datos técnicos o productos que estén bajo el control de normas oficiales en contravención de las mismas y se compromete a eximir al Vendedor de toda responsabilidad, daños o gastos (incluidas cargas u honorarios de abogado) en que pudiera incurrir el Vendedor por las actividades de exportación o reexportación por parte del Comprador contrarias a los controles de exportación e importación aplicables.
19. Export Regulations and Destination Control Statement.
If the commodities, technologies or software sold hereunder are exported from the country where Xxxxxx resides, they may only be done so in accordance with the laws and regulations of such jurisdiction, and any diversion contrary to such laws is prohibited. Buyer will not export any technical data, or commodities that are controlled by government regulations in violation thereof, and agrees to defend, indemnify and hold harmless Seller from and against any claim, loss, liability, expense or damage (including liens or legal fees) incurred by Seller with respect to any of Buyer’s export or re-export activities contrary to applicable export and import controls
20. Propiedad intelectual e industrial.
Sin perjuicio de la entrega y la transmisión del título de propiedad de cualquier producto, el contenido de las presentes condiciones no tendrá el efecto de conceder o transferir al Comprador derechos de propiedad intelectual o industrial sobre ningún producto.
20. Intellectual Property.
Notwithstanding delivery of and the passing of title in any product, nothing in these terms and conditions shall have the effect of granting or transferring to, or vesting in, Buyer any intellectual property rights in or to any products.
21. General.
El Comprador no podrá ceder total o parcialmente los derechos o las obligaciones que adquiere por el presente sin el previo consentimiento por escrito del Vendedor. Las presentes condiciones generales recogen la totalidad de las condiciones por las que se regirán el Comprador y el Vendedor en relación con el objeto de este pedido y sustituyen a todas las demás comunicaciones, pactos o acuerdos, orales o escritos, que pudieran tener ese mismo objeto.
21. General.
Buyer may not assign or transfer all or part of its rights or obligations under this order without the prior written consent of Seller. These terms and conditions constitute the entire agreement and understanding between Buyer and Seller in connection with the subject matter of this order, and supersede all prior oral or written communi cations, representations or agreements in relations thereto.
22. Idioma.
Las presentes Condiciones Generales se han redactado en español y en inglés. En caso de discrepancia entre la versión inglesa y la española de este documento, prevalecerá la versión inglesa.

These Terms and Conditions have been drafted in Spanish and in English. In the event of conflict between the English version and Spanish version of these sale ter ms and conditions, the English version shall prevail
