TÉRMINOS Y CONDICIONES DEL EVENTO
Contrato que celebran por una parte Italian German Exhibition Company México S.A. de C.V., a la cual en lo sucesivo se designará “Comité” y por la otra la empresa contratante conforme a los datos provistos en la primera página de este documento, y a quien en lo sucesivo se denominará “expositor” al tenor de las siguientes cláusulas.
CLAUSULAS:
I GENERALES
1. El Comité declara ser el organizador de la exposición denominada Industrial Transformation MEXICO 2024 que se llevará a cabo en Poliforum Xxxx, Xxxx, Guanajuato, Xxxxxx, xxx 0 xx 00 xx xxxxxxx xx 0000.
2. El firmante de este contrato por parte del Expositor declara contar con autoridad para contraer en su nombre las obligaciones que se deriven del presente contrato, conforme a los datos provistos en la página 1 del mismo.
3. El Comité Organizador proporcionará al Expositor un espacio dentro del piso de exhibición (en adelante denominado “stand”), mismo que será ubicado y delimitado en el plano de la exposición, tomando como base la solicitud de espacio detallada en la página 1 de este contrato. El expositor comprende que la contratación de espacio no está condicionada a la obtención de una ubicación o configuración particular, y que la asignación definitiva de espacios se realiza conforme al mejor criterio del organizador.
II CONDICIONES DE PAGO
4. El Expositor extenderá al Comité la cantidad correspondiente a la superficie en metros cuadrados asignada en el plano de la exposición, conforme a las tarifas y condiciones descritas en la primera página de este contrato, como pago por el derecho a utilizar los espacios contratados únicamente durante los días determinados por el Comité como días de montaje, exposición y desmontaje. La suma acordada tendrá que ser cubierta en su totalidad por el Expositor antes de la celebración de la exposición conforme a los siguientes plazos: a la presentación del contrato 20% del total; 90 días antes de la exposición se habrá cubierto el 50% del total; 60 días antes de la exposición deberá haberse cubierto el 100% del importe de participación. El pago deberá realizarse en la moneda en la que se realice la facturación, ya se trate de pesos mexicanos o dólares americanos, aplicando un tipo de cambio previamente acordado con el Comité, y conforme a las instrucciones de pago que acompañan a la factura(s) respectiva(s). Los pagos tendrán que realizarse mediante transferencia electrónica o cheque certificado a favor de Italian German Exhibition Company México S.A. de C.V. El Expositor deberá asumir los costos y cuotas generados por la transferencia de fondos u otras formas de pago.
5. En el caso extraordinario de pagos realizados mediante cheque sin certificar, estos pagos se recibirán salvo buen cobro, y en caso de devolución el Comité se reserva el derecho de hacer efectivo el pago del documento, así como los cargos que como mínimo establece la Ley General de Títulos y Operaciones de Crédito, o a su juicio dar por rescindidas las obligaciones derivadas de este contrato sin necesidad de procedimientos jurídicos.
6. A la firma y presentación de este contrato el Expositor se obliga a participar y cubrir el importe acordado. Las cuotas de cancelación descritas en la página 1 del presente contrato aplicarán aún en la ausencia de un anticipo. En el caso de que el Expositor no se presente a ocupar el espacio contratado en las fechas acordadas para montaje, estará de cualquier manera obligado a cubrir el importe total del espacio, y el Comité podrá disponer de este, conforme a su mejor criterio para conservar la buena imagen del evento.
7. En el supuesto de que el EXPOSITOR no hiciere uso del (los) STAND (s) contratado(s) perderá, en beneficio del Comité, las cantidades que hubiere cubierto, sin derecho a reclamación o bonificación alguna, y aplicarán cuotas de cancelación. En caso de que los productos a exhibir no quedaran instalados a más tardar a las 22:00 horas del día anterior a la iniciación del evento, el Comité Organizador podrá disponer del espacio sin responsabilidad alguna por su parte.
8. Terminación por parte del Expositor. La terminación anticipada por parte del Expositor deberá ser por escrito y será efectiva desde la recepción por el Comité de un correo electrónico dirigido a Xxxx Xxxxxx Xxxxx, Industrial Transformation MEXICO; Italian German Exhibition Company México S.A. de C.V., a su dirección electrónica xxxx.xxxxxx@xxxxxxxx.xx Al terminar el presente Contrato por escrito conforme a lo anterior, el total del monto pagado por el Expositor quedará a beneficio del Comité Organizador, sin eximir al Expositor del pago de las siguientes cuotas de cancelación:
• Después de la firma del contrato: 20%
• De 120 a 90 días antes de la exposición: 50%
• 89 días o menos antes de la exposición: 100%
III USO DEL ESPACIO DE EXHIBICIÓN
9. Acepta el Expositor que el espacio contratado se utilizará únicamente para exponer los productos descritos en las páginas 1 y/o 2 de este contrato. El Comité Organizador se reserva el derecho de reubicar a una empresa a su discreción.
10. Limitaciones de espacio: El expositor se limita a utilizar el espacio únicamente como se indica en el plano, sin rebasar los límites indicados. Cualquier actividad comercial o promocional del expositor fuera de los límites de su espacio de exhibición requerirán de permiso escrito por parte del Comité Organizador.
11. El expositor no está en condiciones de ceder, traspasar o enajenar los derechos a que se refiere el presente contrato, así como prestar o arrendar total o parcialmente el (los) STAND(s) contratado, comprometiéndose a exhibir exclusivamente productos fabricados o relacionados con el expositor. El Expositor se compromete a devolver el espacio tal como le fue entregado, sin alterar estructuras, mamparas, mobiliario o equipamiento que se le haya provisto como parte del servicio. Está prohibido en este sentido clavar, atornillar, aplicar adhesivos, pintar o perforar las mamparas, las columnas, piso, la alfombra y el mobiliario. Queda prohibido el uso de tabla roca, adhesivos y pinturas permanentes, clavar o atornillar objetos
EVENT TERMS & CONDITIONS
Agreement entered into by and between Italian German Exhibition Company México S.A. de C.V., hereinafter referred to as "Committee" and as the other party the exhibiting company as per the information provided on page 1 of this contract, hereinafter referred to as "Exhibitor", which is celebrated in accordance with the following clauses.
CLAUSES:
I GENERAL DISPOSITIONS
1. The Committee declares to be the organizer of the exhibition named Industrial Transformation MEXICO 2024 to be held at: Poliforum Leon in León, Guanajuato, Mexico, from October 9 to 11, 2024.
2. The signer of this agreement declares to have authorization of the Exhibitor to act on his behalf and bind the Exhibitor to the obligations arising out of this agreement, in accordance to the information provided in page 1 of this document.
3. The Organizing Committee grants the Exhibitor a defined space of exhibition, which will be identified and detailed in the corresponding floorplan (such space hereinafter referred to as the “Stand(s)”), based on the space request and information supplied in page 1 of this agreement. The exhibitor acknowledges his participation cannot be conditioned to the assignment of any particular location and that final space assignments are made at the discretion of the organizer.
II CONDITIONS OF PAYMENT
4. The Exhibitor will pay the Committee an agreed amount corresponding to the space assigned, as payment for the right to use the Stand(s) solely and exclusively during the days designated by the Committee. The abovementioned amount shall be paid in its entirety before the exhibition takes place in accordance with the following payment schedule: a 20% deposit is required with the presentation of the contract; 50% of the total amount must be paid 90 days prior to the show; full payment is due 60 days prior of the show. Payments must be made in the currency the Exhibitor was invoiced, this being either Mexican pesos or US dollars applying a previously agreed upon exchange rate. The payments shall be made through wire transfer or certified check issued in favor of Italian German Exhibition Company México S.A. de C.V. as per instructions provided with the respective invoice. The exhibitor will assume all costs and fees generated by wire transfer services and other forms of payment.
5. In the exceptional case of payments made with regular checks, these always shall be received subject to collection; in the event of insufficient balance, the Committee reserves the right to enforce the payment of the documents, as well as additional fees foreseen as minimum in the General Law of Credit Instruments and Operations, or to alternatively rescind the obligations derived from this agreement without needing a judicial resolution thereof.
6. By signing this agreement, the Exhibitor is committed to payment and participation in the exhibition. Cancelation fees will apply even in the absence of advance payments, as described in page 1 of this agreement. In case of no-show, the Exhibitor remains obligated to payment of the total amount agreed upon, and the Committee, in order to preserve the good image of the event, reserves the right to use the Exhibitor’s space in accordance to its best judgement.
7. In the event that the Exhibitor does not make use of the Stand(s) contracted, the Exhibitor will lose in benefit of the Committee any and all amounts they might have produced, without any further recourse, claim or bonuses, and cancellation fees will still apply. In the event that the products to be displayed are not installed by 10:00 pm on the day before the start of the event, the Organizing Committee may use said space without liability on its part.
8. Termination by the Exhibitor. The termination of the contract by the exhibitor must be in writing and will be effective from the reception by the Committee to the following email address Xxxx Xxxxxx Xxxxx, Industrial Transformation MEXICO; Italian German Exhibition Company México S.A. de C.V., to your email address xxxx.xxxxxx@xxxxxxxx.xx. Upon termination of this Contract in writing in accordance with the established mentioned before, the total amount paid by the Exhibitor will be for the benefit of the Organizing Committee, without liberating the Exhibitor from the payment of the cancellation fees established:
• After contract's signing: 20%
• From 120 to 90 days prior to the exhibition: 50%
• 89 days or less prior to the exhibition: 100%
III USE OF EXHIBIT SPACE
9. The Exhibitor accepts that the contracted space shall be used solely and exclusively to show the products described on the corresponding sections in pages 1 and 2 of this agreement. The Organizing Committee reserves the right to relocate an Exhibitor stand at its discretion.
10. Limitations of space: Exhibitor agrees to use its space solely as indicated in the exhibition floorplan. Any sales or promotional activities by the Exhibitor outside the boundaries of its stand will require express permission by the Organizing Committee.
11. The Exhibitor has no authority to assign, transfer or dispose of the rights referred to in this agreement, and lend or lease, in whole or in part, the Stand(s) hired, being obligated to only show products ordinarily manufactured or related to the same. The exhibition area is to be returned by the Exhibitor in the same condition as it was handed over, without altering structures, hard walls, furniture, or equipment part of his service package. Likewise, it is prohibited to nail, screw, paint or perforate the screens; the use of drywall, nailing or screwing objects

de cualquier tipo en los pisos o columnas del edificio, realizar otro tipo de perforaciones, el uso de magnavoces y equipos de sonido que interfieran en la exhibición de las demás empresas; encender fuego en el área de exposición, utilizar productos inflamables o tóxicos, e invadir los pasillos y lugares de descanso, ya que el material a exponer deberá quedar instalado en las áreas designadas para tales fines.
12. El expositor se obliga a tener personal atendiendo su espacio de exhibición durante el horario del evento. El expositor para efectos de instalaciones, montaje y desmontaje se apegará al reglamento incluido en el Manual de Expositor, que es publicado y actualizado en forma electrónica a través de la página web del Comité Organizador.
13. El expositor se compromete a respetar el reglamento del evento y xxx xxxxxxx ferial. Como consecuencia de lo anterior el expositor se obliga a difundir el contenido de estos ordenamientos, entre su personal o a quien designe o contrate para satisfacer sus requerimientos o el cumplimiento de sus obligaciones durante el evento.
14. Al término del evento el expositor deberá desalojar sus materiales y productos dentro del horario establecido en el Manual del Expositor, comprometiéndose a entregar totalmente desocupado el stand a que se refiere el presente contrato, en las condiciones en las que lo recibió, conforme lo señala el reglamento. El Comité Organizador no asumirá ninguna responsabilidad sobre materiales o productos que permanezcan en el piso de exhibición una vez vencidos los horarios de desmontaje establecidos en el Manual del Expositor. Si el (los) STAND(s) no fuere (n) desalojado (s) en el tiempo establecido se le imputará el costo de horas extras de xxxxx xxx xxxxxxx, costos de almacenaje y traslado para el desalojo que el Comité Organizador hubiera efectuado, siendo necesario cubrir estos gastos para poder recuperar su mercancía, sin responsabilidad para el Comité.
15. El expositor manifiesta su deseo de participar en el referido evento y acuerda conocer y sujetarse a los términos y condiciones estipulados en el Reglamento de la Exposición que se publica y actualiza de manera electrónica en la página web del evento, y que deben considerarse parte integral de este contrato.
IV RESPONSABILIDAD DEL EXPOSITOR
16. El Comité cuenta con todos los permisos necesarios para la realización del evento. Sin embargo, es responsabilidad del expositor, sea persona física o moral, nacional o extranjera, cualquier trámite, permiso o autorización específicos requeridos por cualquier autoridad, Federal, Estatal o Municipal, en cualquier tema concerniente a su presentación individual en el evento, como puede ser el personal, relación con proveedores, uso de marcas, importación, exhibición y demostración de productos, equipos o servicios, etc.
17. Terminación por el Organizador. El Comité se reserva el derecho de terminar este Contrato inmediatamente mediante notificación por escrito al Expositor en el caso de infracción o incumplimiento anticipado por el Expositor de cualquiera de los términos y condiciones establecidos en este documento, en cualquier convenio modificatorio al presente o en el Manual de Expositores. El Comité puede expresamente (pero no tiene obligación) ocupar o disponer de cualquier espacio vacante o puesto a disposición en razón de las medidas adoptadas en virtud de este párrafo en la forma que mejor considere, y sin que lo anterior exima al Expositor de toda responsabilidad por el importe adeudado.
V SEGURIDAD Y PREVENCIÓN
18. El Expositor exime al Comité y asume la total responsabilidad sobre cualquier daño a terceros que pudiera ser consecuencia de sus actividades en la exposición, incluyendo montaje y desmontaje. El Expositor se obliga a contratar los seguros pertinentes conforme a los riesgos relacionados con su participación en el evento.
19. Desde la hora de apertura y por la duración de la exposición, por razones de seguridad no podrá ningún expositor retirar los artículos expuestos sin previa autorización escrita y aprobada por el Comité. El Comité proveerá servicios de seguridad y vigilancia, pero no asumirá responsabilidad alguna sobre daños en propiedad del Expositor.
VI EXCLUSIÓN DE RESPONSABILIDAD
20. Dada la naturaleza del uso y disfrute de los stands en el presente contrato, ambas partes manifiestan que el Comité y el Expositor son partes contratantes totalmente independientes, por lo tanto no existe ningún nexo o relación obrero patronal, en el entendido de que el único responsable del personal contratado para la exhibición de sus productos o mercancías en cuanto al pago de salarios, prestaciones xx xxx, impuestos, derechos, seguro social, Infonavit, AFORE y demás obligaciones que se causen serán por cuenta del EXPOSITOR. Por lo que este acto se obliga a sacar en paz y a salvo al Comité de cualquier problema o controversia que se pudiera suscitar en este sentido, cubriendo todos los gastos que pudiera ocasionar tal circunstancia al Comité.
21. Si la Exposición se reprograma, se reubica o se acorta antes de la fecha de inicio del evento, el acuerdo de contrato firmado se aplicará a la nueva fecha, hora, ubicación o duración, a menos que el Expositor se oponga por escrito dentro de las dos semanas posteriores a la recepción de la notificación por escrito del Comité. Si se recibe un aviso de objeción, El Expositor podrá utilizar su inversión para el próximo evento. Si el Comité determina que la exposición no puede posponerse y ejecutarse dentro de un plazo en el futuro apropiado, el Comité tiene derecho a cancelar la exposición. En caso de que esto ocurra, el Comité transferirá la inversión a la próxima edición del evento. Si la exposición se cancelara definitivamente, el Comité reembolsará al Expositor el Importe por el espacio total pagado por el Expositor dentro de los siguientes 30 (treinta) días naturales a la recepción de la notificación del aviso.
22. En caso de que el evento no se celebre como fue programado por cualquier causa más allá del control razonable del Comité, incluyendo daños causados por visitantes al evento, otros expositores o personas actuando por iniciativa propia o eventos y desastres naturales, el Expositor exenta al Comité de toda responsabilidad sobre cualquier daño y del reclamo de cualquier tipo de indemnización, incluyendo el reembolso de la tarifa de participación. Adicionalmente el Comité no podrá asumir responsabilidad sobre el volumen de la concurrencia, ni sobre las ventas generadas por el expositor durante el evento.
of any type on floors or columns of the building; perform other types of drilling; the use of load speakers or sound equipment of any kind which might interfere with the participation of other exhibitors; light fire within the venue; use of flammable or toxic products; invade the halls and places of rest, since exhibit materials must always be installed within the designated areas.
12. The exhibitor shall always be responsible to maintain personnel in the xxxxx during the show hours. The Exhibitor, for purposes of installations, set-up and dismantling of exhibits, will adhere to the regulations included as part of the Exhibitor’s Manual, which is published and updated on the Committee’s website.
13. The Exhibitor undertakes the responsibility to respect the regulations of the exhibition and of the venue. As a result of the above, the Exhibitor is obligated to share the content of these regulations among their staff, delegates or designees hired to meet its exhibition requirements or fulfill their obligations during the exhibition.
14. After the closing of the exhibition, the Exhibitor must vacate their materials and products within the schedule established in the Exhibitor’s Manual, committing to deliver fully vacated the Stand(s) referred to in this contract, in the same condition it was handed over, as established by the exhibition regulations. The Organizing Committee accepts no liability with regards of the Exhibitor’s materials or products. If the Stand(s) is(are) not properly vacated on time, the Exhibitor shall be obliged to pay any costs the Organizing Committee might incur such as of overtime charges by the venue, storage and transportation expenses, being necessary to cover these expenses in order to recover their goods, without responsibility to the Organizing Committee.
15. The Exhibitor has expressed its desire to take part in the event and agrees to adhere to all the terms and conditions stipulated in the Exhibition Regulations, which are published and updated in the exhibition web site, and which become an integral part of this agreement, in the understanding that the Exhibitor has agreed to be bound by such regulations.
IV EXHIBITOR’S LIABILITY
16. The Committee declares to have all the necessary permits to hold the event. Nonetheless, the Exhibitor is solely responsible for any and all required permits or authorizations from local, State or Federal authorities pertaining the Exhibitor’s individual participation in the exhibition, such as but not limited to stand construction, staff, vendors, exhibits, use of trademarks, product demonstrations, special equipment and services, etc.
17. Termination by the Organizer. The Committee reserves the right to terminate this contract immediately by notifying the Exhibitor in writing in the event of an infringement by the exhibitor of any of the terms and conditions established in this document, or in any additional agreement or in the exhibitor manual. The Committee is authorized (but has no obligation) to dispose of any space which is liberated by any reason under this paragraph. The Exhibitor still has to pay all open amount related to this contract.
V SECURITY, SAFETY & PREVENTION
18. The Exhibitor exempts the Organizing Committee of any liability pertaining to damages or losses to third parties resulting from the Exhibitor’s activities during the exhibition, including set- up and dismantling. The Exhibitor is responsible for providing sufficient insurance protection for any risks related to their presentation in the exhibition.
19. From the opening time and for the duration of the Exhibition, due to security reasons, no Exhibitor will be allowed to withdraw or vacate their items on display without the prior written authorization of the Committee. The Committee will provide security services during the event but cannot assume any responsibility on the Exhibitor’s property.
VI EXCLUSION OF RESPONSIBILITY
20. Given the nature of the use and enjoyment of the Stand(s) under this contract, both parties state and agree that the Committee and the Exhibitor are totally independent contracting parties, therefore there is no link or labor management relations arising from this agreement, in the understanding that the personnel hired for the exhibition of the Exhibitor’s products or goods is the sole responsibility of the Exhibitor, including the payment of wages, benefits, taxes, duties, social security, INFONAVIT, AFORE and all other labor obligations. Consequently, the Exhibitor will be obliged to hold the Committee harmless of any problems that may arise, covering all expenses in which the Committee may incur because of disputes derived from such circumstances.
21. If the Exhibition is rescheduled, relocated, or shortened before the event start date, the signed contract agreement will apply to the new time, location or duration, unless the Exhibitor objects in writing within two weeks after receiving the written notification from the Committee. Should an objection notice be received the company will be able to utilize their investment towards the next event if the Committee determines that the exhibition cannot be postponed and executed within an appropriate future period, the Committee has the right to cancel the exhibition. In that case the Committee will transfer the investment to the next edition of the event. If the exhibition is permanently canceled, the Committee will reimburse the exhibitor the amount for the total space paid by the exhibitor within the following 30 (thirty) calendar days after the receipt of the notification.
22. In the event that the exhibition does not take place as scheduled for any reason beyond the reasonable control of the Committee, including damage caused by visitors to the event, other exhibitors or persons acting on their own initiative, or natural disasters, the Exhibitor frees the Committee of all responsibility for any damage and the claim of any type of compensation, including reimbursement of the participation fee. Additionally, the Committee cannot assume responsibility for the volume of the audience, or the sales generated by the exhibitor during the event.
23. El Comité Organizador rehúsa responsabilidad o compromiso alguno en relación con las actividades, informaciones, productos y servicios ofrecidos por expositores y visitantes en el evento. El expositor declara comprender que todas las negociaciones sostenidas entre empresas participantes del evento son de naturaleza privada e independientes de la relación contractual que pudiera existir con el Comité y sus socios de negocio.
24. Causas de fuerza mayor: El Comité organizador no será responsable ante el Expositor por ninguna pérdida sufrida, ni estará en incumplimiento bajo este contrato de exhibición por cualquier retraso, falla o interrupción que resulte directa o indirectamente de acciones industriales, apagones, incendios, guerras, SARS, pandemias, disturbios civiles, populares o militares, terremotos, disputas laborales, la construcción y/o modificación de las sedes incluyendo el Lugar del Evento, la regulación gubernamental, huelga, clausura, orden judicial, acto xx xxxxxx, desastres naturales, actos terroristas, violencia, mal funcionamiento de instalaciones, contingencias, inundación, epidemia, explosión, accidente, bloqueo, embargo, inclemencia del tiempo, limitaciones gubernamentales, eventos climatológicos, acciones cometidas por enemigos públicos, motín o disturbio civil, trastorno o carencia de transporte adecuado, incapacidad para obtener mano de obra suficiente, leyes referentes a materia técnica u otras disposiciones relativas al personal, ordenanzas municipales, disposiciones estatales o federales, emergencias gubernamentales, o cualquier otro evento o causa fuera del control del organizador o si la asistencia a la exhibición se ve afectada negativamente por alguno de los eventos o causas nominados por esta cláusula. En tales casos, el Comité Organizador cancelará el Evento sin su responsabilidad, mediante notificación por escrito al Expositor. Una vez entregada dicha notificación, el Comité no tendrá ninguna otra obligación frente al Expositor. Un cambio en el nombre del Evento no constituye una cancelación por parte del Organizador. En todas esas circunstancias, el total del monto pagado por el Expositor quedará a beneficio del Comité Organizador.
VII JURISDICCIÓN
25. Para todo lo relativo a la interpretación y cumplimiento del presente contrato las partes manifiestan expresamente su anuencia en someterse a los jueces y Tribunales de la Ciudad de México, así como los dispositivos legales a que se refiere el Código Civil vigente en lo relativo a obligaciones en general, y en especie, renunciando al fuero de cualquier otro domicilio presente o futuro.
23. The Organizing Committee cannot and does not assume any responsibility or liability for the actions, information, products, and services offered by exhibiting companies. Exhibitors and visitors acknowledge that all negotiations held among them are private in nature and independent of their contractual relationship, if any, with the Committee, the Committee’s sponsors, or affiliates.
24. Force majeure. The Organizing Committee will not be responsible to the exhibitor for any loss suffered, nor will it be in breach under this exhibition contract for any delay, failure or interruption that results directly or indirectly from industrial actions, blackouts, fires, wars, SARS, pandemics, civil, popular or military disturbances, earthquakes, labor disputes, the construction and / or modification of venues including the event venue, government regulation, strike, closure, court order, act of war, natural disasters, terrorist acts, violence, facilities malfunction, flood, epidemics, explosion, accident, blockade, embargo, government limitations, weather related catastrophes, actions committed by public enemies, riot or civil disturbance, disorder or lack of adequate transportation, inability to obtain sufficient labor, state or federal regulations, government emergencies, or any other event or cause beyond the organizer's control or if attendance at the exhibition is negatively affected by any of the events or causes named by this clause. In such cases, the Organizing Committee will cancel the event, by a written notification to the exhibitor. Once said notification has been delivered, the Committee will have no other obligation towards the Exhibitor. A change in the name of the event does not constitute a cancellation by the Organizer. In all these circumstances, the total amount paid by the Exhibitor will be for the benefit of the Organizing Committee.
VII JURISDICTION
25. For all matters concerning the interpretation and performance of this agreement, the parties expressly declare their consent to submit to the judges and courts of Mexico City, as well as to the legal provisions of the current Civil Code in force in Mexico City, waiving the jurisdiction of any other Court corresponding to their present or future addresses.
