Writing definition

Writing means the representation or reproduction of words, symbols or other information in a visible form by any method or combination of methods, whether sent or supplied in electronic form or otherwise.
Writing means communication written by hand or machine duly signed and includes properly authenticated messages by facsimile or electronic mail.
Writing means any hand-written, type-written, or printed communication, including telex, cable and facsimile transmission.

  • The Company covenants that it will not, unless it obtains the prior written consent of the Placement Agent, make any offer relating to the Securities that would constitute an Company Free Writing Prospectus or that would otherwise constitute a “free writing prospectus” (as defined in Rule 405 of the Securities Act) required to be filed by the Company with the Commission or retained by the Company under Rule 433 of the Securities Act.
