Upgrades and Enhancements definition
Upgrades and Enhancements means any and all new versions, improvements, modifications, upgrades, updates, fixes and additions to the Software that Service Provider or its supplier commercially releases to its end users generally during the term of this Agreement to correct deficiencies or enhance the capabilities of the Software, together with updates of the Documentation to reflect such new versions, improvements, modifications, upgrades, fixes or additions; provided, however, that the foregoing shall not include new, separate product offerings, new modules, re-platformed Software or new functionality.
Upgrades and Enhancements means any and all new versions, improvements, modifications, upgrades, updates, fixes and additions to Supported Software that a Product Vendor or ImageSoft has commercially released to its end users generally during the term of this SMA to correct deficiencies or enhance the capabilities of the Supported Software, together with updates of the Documentation to reflect such new versions, improvements, modifications, upgrades, fixes or additions; provided, however, that the foregoing shall not include new, separate software product offerings, new software modules, or a re-platformed software product.

Customer further acknowledges that the release of the Software, Upgrades and Enhancements to foreign nationals in the United States is a “deemed export” as that term is defined in the EAR and that such release may be a violation of the EAR.
Any Upgrades and Enhancements to the Supported Software and Documentation shall remain proprietary to and the sole and exclusive property of the Product Vendor and shall be subject to all the restrictions, limitations and protections of the Product Vendor’s license agreement.
Any use, modification, reproduction release, performance, display or disclosure of the Software, Upgrades and Enhancements by the U.S. Government shall be solely in accordance with the terms of this Agreement.
All applicable rights to patents, copyrights, trademarks, other intellectual property rights, applications for any of the foregoing and trade secrets in the Supported Software and Documentation and any Upgrades and Enhancements are and shall remain the exclusive property of the Product Vendor.
ImageSoft shall provide, upon Customer request, all Upgrades and Enhancements to the Supported Software commercially released by the Product Vendor during the term of this SMA.
More Definitions of Upgrades and Enhancements
Upgrades and Enhancements means code corrections and fixes, updates and new releases to the Software, which are typically identified by changes in the version number to the right of the decimal point, and which are made available by ▇▇▇▇▇▇▇▇-▇▇▇▇▇▇ generally to all of its customers. Upgrades and Enhancements do not include new optional functionality; net-new functionality or major revision changes to the Software.

Upgrades and Enhancements means bug fixes and functional improvements to PHx's systems used for purposes of effecting the online purchase and/or sale of medical, pharmaceutical, surgical, dietary, dental, or veterinarian supplies or services. "New Services" shall mean services or products offered and/or developed by PHx other than Upgrades and Enhancements. Purchasing Partners shall have the right to participate as a beta test site for the testing and evaluation of such Upgrades and Enhancements and New Services. Notwithstanding the foregoing, in the event PHx introduces a New Service which substantially replaces the PHx e-Commerce System as it then exists (the "Legacy PHx e-Commerce System"), to the extent PHx imposes additional charges for use of such New Service, PHx shall continue to operate and provide support (consistent with PHx's prior practices) for the Legacy PHx e-Commerce System for the benefit of Participating Members and Distributors and Vendors (to the extent use of the Legacy PHx e-Commerce System by such Distributors and Vendors relates to Participating Members) at no additional charge throughout the initial term and any renewal term of this Agreement.
