On each Drawdown Date (as defined below), the Investor agrees to purchase from the Company, and the Company agrees to issue to the Investor, a number of Shares equal to the Drawdown Share Amount (as defined below) at an aggregate price equal to the Drawdown Purchase Price (as defined below); provided, however, that in no circumstance will an Investor be required to purchase Shares for an amount in excess of its Unused Capital Commitment (as defined below).
Notwithstanding anything to the contrary contained in this Agreement and except as otherwise required by a nonwaivable provision of applicable law, the liability of a Limited Partner for any losses of the Fund in no event shall exceed, in the aggregate (without duplication): (i) the amount of its Unused Capital Commitment, and (ii) its share of the undistributed assets and profits of the Fund.
The Investor and the Company agree and acknowledge that any dividends received by the Investor or reinvested by the Company on the Investor’s behalf shall have no effect on the amount of the Investor’s Unused Capital Commitment.
