Unused Capital Commitment definition

Unused Capital Commitment means, with respect to an Investor, the amount of such Investor’s Capital Commitment as of any date reduced by the aggregate amount of contributions made by that Investor at all previous Drawdown Dates and any Catch-up Date pursuant to Section 1.01(b) and Section 1.02(b), respectively.
Unused Capital Commitment means, with respect to a Subscriber, the amount of such Subscriber’s Capital Commitment as of any date reduced by the aggregate amount of contributions made by that Subscriber at all previous Capital Drawdown Dates and any Catch-Up Date pursuant to Section 1.01(b) and Section 1.02(b), respectively.

  • On each Drawdown Date (as defined below), the Investor agrees to purchase from the Company, and the Company agrees to issue to the Investor, a number of Shares equal to the Drawdown Share Amount (as defined below) at an aggregate price equal to the Drawdown Purchase Price (as defined below); provided, however, that in no circumstance will an Investor be required to purchase Shares for an amount in excess of its Unused Capital Commitment (as defined below).

More Definitions of Unused Capital Commitment

Unused Capital Commitment means, with respect to a Subscriber, the amount of such Subscriber’s Capital Commitment as of any date reduced by the aggregate amount of contributions made by that Subscriber at all previous Capital Drawdown Dates pursuant to Section 1.01(b). For the avoidance of doubt, if the applicable date of determination occurs following the delivery of a Funding Notice to such Subscriber but prior to the Capital Drawdown Date in respect thereof, the amount specified in such Funding Notice (as it may be amended in accordance with this Agreement) shall not be included in such Subscriber’s Unused Capital Commitment unless such amount remains unpaid following the Capital Drawdown Date and any cure period pursuant to Section 3.01.
Unused Capital Commitment shall have the meaning given to such term in the Subscription Agreement, provided, however, that any amount subject to a Pending Drawdown shall be excluded from the applicable Investor’s Unused Capital Commitment.
