More Definitions of Transferred Facilities

Transferred Facilities means, collectively, the Spinco Owned Real Property, the Spinco Leased Real Property, the Subleased Premises and the Licensed Premises.

Transferred Facilities means the facilities, buildings, structures and other improvements that are (a) located at the Transferred Sites and at the Retained Sites; and (b) identified on Schedule 1.01(l).

Transferred Facilities means the facilities identified on Schedule 2.1(h).

Transferred Facilities means the plants, offices, stores, warehouses, administration buildings, manufacturing facilities, packaging facilities and related facilities and fixtures owned directly or indirectly by Seller or its Affiliates that are exclusively used in or held for use in or exclusively related to, the Business, including, without limitation, the real property owned by Seller or its Affiliates and described on Schedule 3.3(a)(i) under the heading “Owned Real Property”, and all buildings, structures and improvements owned by Seller or its Affiliates and located thereon. Without limiting the foregoing, Transferred Facilities shall include the manufacturing, packaging and warehousing facilities located in Little Chute, Wisconsin and Medford, Wisconsin.

Transferred Facilities means the facilities operated by Sellers (directly or indirectly through their Controlled Affiliates, including the Transferred Subsidiaries or the Joint Venture) as of immediately prior to the Closing in Grand Prairie, Texas, Hot Springs, Arkansas, Wellington, Kansas, San Antonio, Texas (at a customer-owned facility), and Chonburi, Thailand.

Transferred Facilities means, collectively, the Aurangabad Facility and the Sholinganallur Facility; and
