Transaction Bonus Amount means the aggregate of (i) all amounts payable to employees of any Group Company under the Bonus Scheme (whether at or following Completion), inclusive of any taxation and employee social security (or similar) contributions and (ii) any employer social security contributions arising in connection with payments under the Bonus Scheme; Transaction Documents means: *** Confidential Treatment Requested
Transaction Bonus Amount means an amount equal to (i) the aggregate Transaction Bonuses to be made to the recipients thereof in connection with the transactions contemplated by this Agreement, plus (ii) the aggregate Transaction Payroll Taxes incurred in connection with such Transaction Bonuses.
Transaction Bonus Amount shall be a cash payment in an amount determined based on the satisfaction of performance goals related to a Sale, in each case to be determined and communicated to you in writing by the Leadership and Development and Compensation Committee of the Company’s Board of Directors (which communication will also set forth the timing of payment of the Transaction Bonus Amount).

Examples of Transaction Bonus Amount in a sentence

  • Within fifteen (15) business days following the effective date of a Change in Control, the Company (or its successor or assigns) shall pay to Executive the Transaction Bonus Amount.

  • Notwithstanding anything to the contrary herein, any Transaction Bonus Amount due to the Recipient under this Agreement shall be conditioned upon the Recipient’s execution (and no revocation) of a general release of claims, in the form attached hereto as Exhibit A (the “Release”).

More Definitions of Transaction Bonus Amount

Transaction Bonus Amount means the aggregate amount of bonuses payable by the Company on the Closing Date to the individuals and in the amounts set forth on the Transaction Bonus Schedule.
Transaction Bonus Amount means the aggregate amount set forth in Section 15(a) of the Disclosure Schedule as a “Transaction Bonus” to be paid to the Transaction Bonus Recipients;

Transaction Bonus Amount means, for any Covered Employee, the product of (i) the fraction set forth on Schedule A hereto with respect to such Covered Employee, and (ii) the Transaction Bonus Pool.
Transaction Bonus Amount means the aggregate amount of all Bonus Payments paid and contributed pursuant to this Section 1.5, plus all employee withholding Taxes and all employer payroll Taxes thereon. Pursuant to the Flow of Funds Memorandum, the Company may direct the Buyer to pay, on behalf of the Company, the Bonus Payments pursuant to this Section 1.5.
