July 22, 2002, the Sub-Advisory Agreement is hereby amended and restated in its entirety as follows: "SCHEDULE A CSAM will pay the Sub-Adviser a fee of $250,000 per annum (the "Total Fee"), one quarter of which shall be payable in U.S. dollars in arrears on the last business day of each calendar quarter.
The Contractor under no circumstances shall exceed the Total Fee without a properly and fully executed modification placed against this Agreement.
HTFC will not be obligated to remit payment to the Contractor for any fees or expenses (including termination costs and travel expenses) if to do so would exceed the Total Fee, and the Contractor shall not be obligated to continue performance if to do so would cause the Contractor’s fees to exceed the Total Fee, unless and until the Parties properly and fully execute a modification against this Agreement.
If a change in the law or the Board of Trustees of Ivy Funds VIP requires a reduction in the fees paid by a pooled investment vehicle pursuant to Rule 12b-1 of the Investment Company Act of 1940 (or its functional equivalent), and if Ivy Funds VIP is required to reduce the 12b-1 fees it pays that are based upon the value of the Aggregated Assets as a result of such change in the law or Board action, then there shall be a corresponding reduction in the amount of the Total Fee due pursuant to above.
Total Fee will be comprised of all FTEs for each community school, as applied pro rata to each school.
