Technical panel means those persons nominated or agreed pursuant to Schedule 5, Appendix 2, Part II and any replacements as may be appointed for the time being.
Technical panel means a panel composed of Developer’s Consultant, University’s Consultant and the Independent Consultant; the term “University’s Consultant” means an architect or engineer selected by University; and the term “Independent Consultant” means a California licensed architect or engineer with at least ten (10) years of building design experience selected by Developer’s Consultant and University’s Consultant. University’s Consultant and Developer’s Consultant shall select the Independent Consultant within five (5) Business Days following the appointment of the later of the two. In the event of a dispute to be resolved by the Technical Panel, the Technical Panel shall meet and confer in person within five (5) Business Days following the selection of the Independent Consultant; which the parties shall endeavor to cause to occur within Ten (10) Business Days following the date the dispute is selected to be submitted to the Technical Panel for determination. By a simple majority vote, the Technical Panel shall render a written decision (the “Technical Panel Impact Determination”) within two (2) Business Days after its meeting determining the dispute submitted for its review, and such decision reflected in the Technical Panel Impact Determination shall be final and binding upon the Developer and University and not appealable. Each party shall be responsible for the payment of all fees and expenses of its consultant plus fifty percent (50%) of the fees and expenses of the Independent Consultant.
