None of Parent, the Surviving Companies or any of their respective Affiliates shall be liable to any Person in respect of any consideration delivered to a public official pursuant to any applicable abandoned property, unclaimed property, escheat, or similar Law.
Such persons shall serve as the officers of Company Merger Sub and Brekford, respectively, as Surviving Companies from and after the Effective Time until their successors are elected or appointed and qualified or until their resignation or removal.
