Stockholder Proposal definition

Stockholder Proposal has the meaning set forth in Section 4.11.

  • The presiding officer at any stockholders' meeting may determine that any Stockholder Proposal was not made in accordance with the procedures prescribed in these Bylaws or is otherwise not in accordance with law, and if it is so determined, such officer shall so declare at the meeting and the Stockholder Proposal shall be disregarded.

More Definitions of Stockholder Proposal

Stockholder Proposal means a proposal that the holders of Common Stock approve the issuance of the shares of Common Stock issuable upon conversion of the Bridge Preferred Shares pursuant to paragraph 5(b) below.
Stockholder Proposal means a proposal that the holders of Class A Common Stock approve the issuance of the shares of Class A Common Stock issuable upon conversion of the shares of Series A Preferred Stock pursuant to Section 7.
