Stockholder Proposal definition

Stockholder Proposal has the meaning set forth in Section 4.11.

Stockholder Proposal shall have the meaning accorded to such term in the Share Purchase Agreement;

Stockholder Proposal means a proposal that the holders of Class A Common Stock approve the issuance of the shares of Class A Common Stock issuable upon conversion of the shares of Series A Preferred Stock pursuant to the Certificate of Designations.

Examples of Stockholder Proposal in a sentence

• The presiding officer at any stockholders' meeting may determine that any Stockholder Proposal was not made in accordance with the procedures prescribed in these Bylaws or is otherwise not in accordance with law, and if it is so determined, such officer shall so declare at the meeting and the Stockholder Proposal shall be disregarded.

• For a Stockholder Proposal to be properly brought before an annual meeting by a stockholder pursuant to clause (iii) of paragraph (a)(1) of this Section 1.4, the stockholder must have given timely notice thereof in writing to the Secretary of the Corporation and the subject of the Stockholder Proposal must otherwise be a proper matter for stockholder action as determined by the Board of Directors.

• The Board of Directors shall recommend to the Company’s stockholders that such stockholders approve the Stockholder Proposal, and shall not modify or withdraw such resolution.

More Definitions of Stockholder Proposal

Stockholder Proposal means a proposal that the holders of Common Stock approve the issuance of the shares of Common Stock issuable upon conversion of the Bridge Preferred Shares pursuant to paragraph 5(b) below.

Stockholder Proposal means a proposal that the holders of Class A Common Stock approve the issuance of the shares of Class A Common Stock issuable upon conversion of the shares of Series A Preferred Stock pursuant to Section 7.

Stockholder Proposal means the proposal to be presented at the Stockholders Meeting to approve the issuance of the Preferred Stock pursuant to the Rights Offering and subject to the terms of this Agreement.

Stockholder Proposal shall have the meaning assigned to that term in Section 8.21.

Stockholder Proposal means any stockholder proposal with respect to the Company.

Stockholder Proposal means any matter or action proposed by a Stockholder for adoption or other action at a meeting. A Stockholder Proposal shall not include matters (a) specified in the notice of annual meeting (or any supplement thereto) given by or at the direction of the Board of Directors or (b) otherwise brought before the annual meeting by or at the direction of the Board of Directors. A “Stockholder Proposal” shall also not include a proposed matter or action that is within the scope of a Stockholder Proposal that is properly before the annual meeting, within the scope of the subject matter specified in (a) of this paragraph, or within the scope of the subject matter specified in (b) of this paragraph.

Stockholder Proposal means the Capitalization Proposal.
