Settlement Method definition

Settlement Method means, with respect to any conversion of Notes, Physical Settlement, Cash Settlement or Combination Settlement, as elected (or deemed to have been elected) by the Company.

  • The Notice of Mandatory Conversion shall state, as appropriate: (i) the Mandatory Conversion Date selected by the Company; and (ii) the Conversion Rate as in effect on the Mandatory Conversion Date, the applicable Settlement Method and, if applicable, the amount of Regular Dividends or other dividends, if any, to be paid to such holder on the next Regular Dividend Payment Date or other payment date, as applicable.

  • If the Company does not elect a Settlement Method for a particular Conversion Date prior to the deadline set forth in the first sentence of this Section 7(i)(2), the Company shall no longer have the right to elect Cash Settlement or Combination Settlement with respect to such Conversion Date and the Company shall be deemed to have elected Physical Settlement in respect of the Daily Net Settlement Amount portion of the Settlement Amount related to such conversion, if any.

  • If, in respect of any Conversion Date for a conversion at the option of a holder pursuant to Section 7(c), the Company elects to deliver a notice (a “Settlement Notice”) of the relevant Settlement Method in respect of such Conversion Date, the Company shall deliver such Settlement Notice to holders of Series A Preference Shares subject to conversion no later than the Close of Business three Trading Days immediately following the relevant Conversion Date.

  • Such Settlement Notice shall specify the relevant Settlement Method and, in the case of an election of Combination Settlement, the relevant Settlement Notice shall indicate the Cash Percentage.


More Definitions of Settlement Method

Settlement Method means, with respect to a conversion of Notes, the relative proportions of cash and/or shares of Common Stock with which such conversion is settled under this Indenture, as elected (or deemed elected) by the Company.
Settlement Method means, with respect to any conversion of Notes, Physical Settlement, Cash Settlement or Combination Settlement, as elected (or deemed to be elected) by the Company in accordance with Section 4.03(a)(i) hereof.
