The receivership shall be co-terminus with the transfer/assignment/ endorsement of the LICENCE to a Selectee.
Subject to and upon approval of the Buying Entity, such Selectee shall be entitled to receive all the rights of the SPD and shall undertake all the obligations of the SPD under this Agreement and any other Project documents executed between the SPD and the Buying Entity, in accordance with these terms of substitution.
Such substitution of the SPD by a Selectee shall be as per the procedure prescribed in Schedule IV to this Agreement.

The Concessionaire shall ensure and procure that each Transaction Documents contains provisions that entitle the Selectee to step into such Transaction Documents, in its discretion, in place and substitution of the Concessionaire in the event of such Selectee assumption of the liabilities and obligations of the Concessionaire under the Concession Agreement.
