Security Guarantee definition

Security Guarantee means the guarantee of the Securities executed by each Guarantor and the notation thereof executed pursuant to the provisions of this Indenture.

Security Guarantee means the guarantee of any Series of Securities by a Guarantor under Article 10.

Security Guarantee means any guarantee of the obligations of the Company under this Indenture and the Securities by any Restricted Subsidiary in accordance with the provisions of this Indenture.

Examples of Security Guarantee in a sentence

• Each Guarantor hereby agrees that its Security Guarantee set forth in Section 10.01 will remain in full force and effect notwithstanding any failure to endorse on each Security of a guaranteed Series a notation of such Security Guarantee.

• To evidence its Security Guarantee set forth in Section 10.01, each Guarantor hereby agrees that a notation of such Security Guarantee will be endorsed by an Officer of such Guarantor on each Security of a guaranteed Series authenticated and delivered by the Trustee and that this Indenture will be executed on behalf of such Guarantor by one of its Officers.

• If such a violation comes to the notice of the department, NWDA shall be free to forfeit the entire amount of Performance / Security Guarantee.

• Each Guarantor hereby waives diligence, presentment, demand of payment, filing of claims with a court in the event of insolvency or bankruptcy of the Company, any right to require a proceeding first against the Company, protest, notice and all demands whatsoever and covenant that the Security Guarantee will not be discharged except by complete performance of the obligations contained in such Securities and this Indenture.

• If there is further such delay after reaching this limit, BUYER shall be entitled to encashment of whole of Performance Security Guarantee.

More Definitions of Security Guarantee

Security Guarantee means, with respect to the Securities of any series, the Guarantee with respect to the Securities of such series by each Guarantor pursuant to Article 12 hereof and a supplemental indenture.

Security Guarantee means the Form of Security Guarantee of each Guarantor to be endorsed on each of the Securities substantially in the form of Exhibit A (in the case of an Initial Security) or Exhibit B (in the case of an Exchange Security) hereto.

Security Guarantee means the unconditional Guarantee by each Guarantor of the Issuer’s Obligations under the Securities and the Exchange Securities, as set forth in Article 11 hereof. Any Guarantor that is not a party to this Indenture on the Closing Date shall become a Guarantor by executing and delivering to the Trustee a supplemental indenture pursuant to Sections 4.12 and 9.01 substantially in the form of Exhibit I.

Security Guarantee means, at any time, the guarantee of the Company’s obligations under this Indenture and the Securities by each Securities Guarantor pursuant to Article XI.

Security Guarantee means the guarantee of the Securities by each Security Guarantor under Article Seventeen hereof.

Security Guarantee means any guarantee pursuant to a supplemental Indenture which may from time to time be executed and delivered by a Subsidiary of the company pursuant to Section 4.10.

Security Guarantee means Subsidiary Guarantee.
