Any purchases made by Axtel in an amount in excess of the amount of the First Commitment, shall be accounted for as an Axtel purchase under the Second Commitment.
If the Borrower delivers an Optional Prepayment Notice and fails to pay the applicable prepayment amount due to the Holder of the Note as provided in this Section 1.9, then the Borrower shall forever forfeit its right to prepay any part of the Note pursuant to this Section 1.9 and the Holder shall no longer be required to return the Second Commitment Shares to the Borrower under any circumstances.
