A Change of Control shall have occurred; provided that any Change of Control that results in a mandatory prepayment of the Revolving Facility pursuant to Section 2.10(b)(vi) (Prepayment of Loans) shall not constitute an Event of Default.
Upon the occurrence of a sale, assignment, transfer or other Disposition that would constitute a “Change of Control” but for clause (d) of the definition of “Permitted Holder”, the Borrower shall, no later than the fifth (5th) Business Day following such event, prepay Revolving Borrowings, Cash Collateralize the outstanding Letters of Credit and/or take all other actions necessary to cause the Discharge Date with respect to the Revolving Facility.
The commitment fee on each Revolving Commitment shall accrue at all times from the Closing Date until the Revolving Facility Maturity Date, including at any time during which one or more of the conditions in Article IV is not met, and shall be due and payable quarterly in arrears on each Quarterly Date, commencing with the first such date to occur after the Closing Date and on the Revolving Facility Maturity Date.
