In addition, to the extent that Customer may have intellectual property rights in Ladris Data or Resultant Data, Customer hereby grants to Ladris a perpetual, royalty free, non-exclusive worldwide license to reproduce, use and license and sublicense such intellectual property rights for use in connection with the Cloud Services and any other products and services that are developed and marketed by Ladris, its successors or assigns.
In furtherance of the foregoing, Customer hereby unconditionally and irrevocably grants to Provider an assignment of all right, title and interest in and to the Resultant Data, including all Intellectual Property Rights relating thereto.
Without assuming any obligations or liabilities of Customer, Provider agrees to use commercially reasonable efforts to comply with the applicable U.S. laws and regulations respecting the dissemination and use of such Resultant Data.
In addition to the foregoing, Customer acknowledges that Provider shall have the right to utilize data capture and analysis tools, and other similar tools, to extract, compile and analyze any Resultant Data.
To the extent that any Resultant Data is collected by Provider, such Resultant Data shall be solely owned by Provider and may be used by Provider for any lawful business purpose without a duty of accounting to Customer, provided that the Resultant Data is used only in an aggregated form, without specifically identifying the source of the Resultant Data.
