Restricted Partner definition

Restricted Partner has the meaning set forth in Section 1(b) of Exhibit B.
Restricted Partner means any firm, company or person who, during the Relevant Period, was a client or business partner (or prospective client or business partner) of the Company or any other member of the Group and with whom you had contact with or about whom you became aware or informed of during your employment with the Company.
Restricted Partner has the meaning set forth in Section 1(b) of Appendix II.

Examples of Restricted Partner in a sentence

  • Notwithstanding the preceding sentence, to the extent any Net Loss (or items thereof) would be allocated to a Restricted Partner under this subparagraph (c), such Net Loss shall not be allocated to such Restricted Partner and instead shall be allocated to the Permitted Partners pro rata in accordance with each Permitted Partner's Percentage Interest.

  • Your DSP RSU award is expressly conditioned on: (i) your being a participant in the G▇▇▇▇▇▇ S▇▇▇▇ Partner Compensation Plan or the G▇▇▇▇▇▇ S▇▇▇▇ Restricted Partner Compensation Plan on the Date of Grant and your executing any agreement required in connection with such participation; and (ii) your executing the related signature card and returning it to the address designated on the signature card and/or by the method designated on the signature card by the date specified.

Restricted Partner has the meaning set forth in Section 1(b) of Exhibit A.
Restricted Partner means any of FW/Mendik LLC, Bern▇▇▇ ▇. ▇▇▇▇▇▇, ▇▇vi▇ ▇. ▇▇▇▇▇▇▇▇▇, ▇▇y Mend▇▇ ▇▇▇er and any other Person identified on Exhibit F hereto.
Restricted Partner has the meaning given to it in Section 3.1(b).
Restricted Partner means any Partner (i) whose business dealings with the Company were managed or supervised by Consultant; or (ii) about whom or which Consultant obtained confidential information solely as a result of Consultant’s employment with Employer, in either event within the last twelve (12) months preceding the Termination Date. Consultant understands and agrees that the relationships between the Company and its Partners are valuable assets that may not be misappropriated for Consultant’s own use or benefit or for the use or benefit of any other third-party. Accordingly, Consultant hereby agrees that during Consultant’s engagement with the Company and for the period of twelve (12) months immediately after the Termination Date, Consultant shall not, without the prior written consent of Company, directly or indirectly, on Consultant’s own behalf or on behalf of any other third-party engage in any conduct for the purpose of interfering in any manner with the business relationship between the Company and any Restricted Partner, including, but not limited to, urging or inducing, or attempting to urge or induce, any Restricted Partner to terminate its relationship with the Company or to cancel, withdraw, reduce, limit, or modify in any manner such Restricted Partner’s business or relationship with the Company.
Restricted Partner shall have the meaning set forth in Section 5.1(b)(ii) hereof.
Restricted Partner has the meaning set forth in subparagraph 1(d)(iv) of Exhibit E to the Agreement.
Restricted Partner means any person, firm, company or other organisation who was an affiliate, advertising client, vendor, producer or other commercial partner of the Company at any time during the Relevant Period and with whom Executive or, to his knowledge anyone reporting to him, had material contact or dealings at any time during the Relevant Period.
