Required Financials means (a) audited financial statements of ML Target for the most recently completed fiscal year ended at least ninety (180) days before the Initial Closing Date, and (b) unaudited consolidated balance sheets and related unaudited statements of income and cash flows related to ML Target and its subsidiaries, for each subsequent fiscal quarter (other than the fourth fiscal quarter) ended at least sixty (60) days before the Initial Closing Date.
Required Financials shall have the meaning specified in Section 4.30(a).
Required Financials means the financial statements regarding the Company Group described in paragraph (d) of Exhibit C in the debt commitment letter related to the Debt Financing as in effect on the date hereof, and such other information customarily delivered and reasonably necessary for the preparation of a bank information memorandum, including, but not limited to, the “Required Financials” (or other similar term) under and as defined in the debt comment letter related to the Debt Financing, it being understood that Parent shall be responsible for the preparation of any pro forma financial statements and marketing materials for the Debt Financing.
Required Financials means (a) the Combined Results of Operations, Combined Statement of Changes in Owners’ Net Investment and Combined Statement of Cash Flows of the Technology Solutions Segment for the year ended December 31, 2012 and the Combined Balance Sheet of the Technology Solutions Segment as of December 31, 2012, prepared in accordance with GAAP (including required footnotes) and audited in accordance with generally accepted auditing standards in the United States (and accompanied by such firm’s signed audit opinion thereon).
Required Financials means the audited and unaudited financial statements required to be filed by Parent following the Closing, as set forth in the SEC Letter, together with unaudited financial statements of the same kind for any interim period following December 31, 2011 as may be required to be filed with the SEC.
Required Financials means the audited and unaudited (as applicable) historical financial statements of the Company and its Subsidiaries and the unaudited consolidated pro forma financial statements of Company and its Subsidiaries (and such auditors reports with respect thereto) required to be disclosed and filed by Buyer following Closing pursuant to applicable legal requirements, including Current Report on Form 8-K (or any successor form) and the applicable sections of Regulation S-X.
Required Financials means the (a) audited annual financial statements, (b) unaudited interim financial statements and (c) information reasonably required for Parent to prepare applicable pro forma financial statements, in each case meeting the requirements of Regulation S-X under the Securities Act, and all other accounting rules and regulations of the SEC promulgated thereunder applicable to a Current Report on Form 8-K filed by Parent relating to the Mergers under the Exchange Act or required to be included or incorporated by reference into the S-3 Shelf at such time as the S-3 Shelf is declared effective.
