Remote communication meeting the qualifications set forth in this Section is referred to in these By-Laws as “Remote Communication.” Stockholders and proxy holders not physically present at a meeting of stockholders may by means of Remote Communication (a) participate in a meeting of stockholders and (b) be deemed present in person and vote at a meeting of stockholders, whether such meeting is to be held at a designated place or solely by means of Remote Communication.
Remote communication includes any communication that is accomplished by means of electronics, telephone, video or internet conferencing, or such other means through which persons not physically present in the same location may communicate with each other on a substantially simultaneous basis.
Remote communication equipment, i.e. communication modules integrated into meters, will be “retired in place.” The Vendor will refund all payments made to the Vendor for the Network Communications Equipment (including AMI communication modules) to that date.
