Certain rights of holders of shares of Preferred Stock are determined by means of a "Reference Package" as defined in the certificate of incorporation of the Company with respect to the Preferred Stock.
No adjustment will be made to the Warrant (including the Warrant Share number or the Exercise Price) with respect to any event that results in an adjustment to the Reference Package.
