Put Option Period definition

Put Option Period has the meaning set forth in the Recitals to this Agreement.
Put Option Period means the period commencing on the day following the date of the publication of the Put Event Notice in accordance with Condition 9 and ending on the 45th day thereafter.To exercise the Put Option to require redemption or, as the case may be, purchase of the Bonds following a Change of Control, a Bondholder must transfer or cause to be transferred its Bonds to be so redeemed or purchased to the account of the Fiscal Agent specified in the Put Option Notice (as defined below) for the account of the Issuer within the Put Option Period together with a duly signed and completed notice of exercise obtainable from the specified office of the Paying Agent (a “Put Option Notice”) and in which the Bondholder may specify a bank account to which payment is to be made under this Condition 4(d).A Put Option Notice once given shall be irrevocable. The Issuer shall redeem or, at the option of the Issuer procure the purchase of, the Bonds in respect of which the Put Option has been validly exercised as provided above and subject to the transfer of such Bonds to the account of the Fiscal Agent for the account of the Issuer, on the date which is the fifth business day following the end of the Put Option Period (the “Optional Redemption Date”). Payment in respect of such Bonds will be made in Euro on the Optional Redemption Date by transfer to the bank account specified in the Put Option Notice and otherwise subject to the provisions of Condition 5.For the avoidance of doubt, the Issuer shall have no responsibility for any cost or loss of whatever kind which the Bondholder may incur as a result of or in connection with such Bondholder’s exercise or purported exercise of, or otherwise in connection with, any Put Option (whether as a result of any purchase or redemption arising there from or otherwise).
Put Option Period means the period commencing on the earlier of (i) the day following the date falling 24 months after “Completion” (as defined in the TPG SPA) and (ii) date of the occurrence of an Earlier Put Option Trigger Event and ending on the earlier of (A) the day following the date falling 60 months after “Completion” (as defined in the TPG SPA) and (B) the closing date of the Qualified IPO in accordance with the provisions of Clause 11.2 (Initial Public Offering) of this Agreement.

Examples of Put Option Period in a sentence

  • To exercise such option the Noteholder must, within the Noteholder Put Option Period, deposit each Exercised Note at the specified office of a Paying Agent or Transfer Agent, together with an Exercise Notice.

  • The Agent will inform the Issuer of the total amount of Bonds subject to Put Option Notices no later than the fifth Business Day following the end of the Put Option Period.
