Except as has not been and would not reasonably be expected to be, individually or in the aggregate, to have a Pubco Material Adverse Effect, Pubco and each Pubco Subsidiary have been and are in compliance with all Contracts pursuant to which the Pubco Processes or has Processed licensed Pubco Data, and the consummation of the Transactions will not conflict with, or result in any violation or breach of, or default under, any such Contract.
