Pre-Commitment Information definition

Pre-Commitment Information means, taken as an entirety, (i) information with respect to Holdings and its Subsidiaries contained in the Confidential Information Memorandum dated November 2003 Holdings or the Acquisition provided to any Agent or Lender by or on behalf of Holdings prior to the Closing Date.
Pre-Commitment Information means, taken as an entirety, any written information in respect of Parent and its Subsidiaries provided to any Agent or Lender by or on behalf of any Borrower prior to the Closing Date.
Pre-Commitment Information means all written information, including one or more confidential information memoranda and other marketing materials to be used in connection with the syndication of the Commitments that have been made available to Rabobank by CBII, the Borrower or any representative thereof.

  • The consolidated balance sheet of Holdings and its Consolidated Subsidiaries as of the end of the most recent fiscal quarter prior to the Closing Date for which financial information is available, prepared on a pro-forma basis in accordance with Regulation S-X giving effect to the consummation of the Transactions, has heretofore been furnished to each Lender as part of the Pre-Commitment Information.

  • There is no fact known to Holdings or the Borrower or any of their Subsidiaries which could reasonably be expected to have a Material Adverse Effect which has not been disclosed herein or in the Pre-Commitment Information.

More Definitions of Pre-Commitment Information

Pre-Commitment Information has the meaning specified in Section 3.1(g).
Pre-Commitment Information has the meaning given in Section 4.01(a)(vi)(D).
