On the Closing Date, and Option Closing Date if applicable, the Underwriter shall have received the favorable written opinion of Company’s PRC Counsel, in form satisfactory to the Underwriter and Underwriter Counsel, dated as of the Closing Date and Option Closing Date if applicable, and addressed to the Underwriter.
