SpinCo shall be responsible for administering compliance with the health care continuation requirements of COBRA, and the corresponding provisions of the SpinCo Benefit Plans with respect to SpinCo Employees and their covered dependents who incur a COBRA qualifying event or loss of coverage at any time after the Plan Transition Date.

DevCo shall or shall cause a member of the DevCo Group to have in effect, no later than the Business Day immediately prior to the Plan Transition Date, DevCo Welfare Plans providing health and welfare benefits for the benefit of each DevCo Employee with terms that are, in the aggregate, substantially similar to those provided to the applicable DevCo Employee immediately prior to the date on which such DevCo Welfare Plans become effective.
