Performance Compensation definition

Performance Compensation has the meaning ascribed to that term in Section 7 of Appendix II.
Performance Compensation means an Incentive Bonus, Restricted Stock, Restricted Stock Units or a Stock Award intended to qualify as “performance-based compensation” under Section 162(m) of the Code.
Performance Compensation means any amount earned by and payable to an Eligible Employee under all Performance Plans during any Plan Year thereof.

Examples of Performance Compensation in a sentence

  • As soon as practicable after the close of each Performance Period, the Committee shall review and certify in writing whether, and to what extent, the Performance Measure(s) for the Performance Period have been achieved and, if so, determine and certify in writing the amount of the Performance Compensation Award to be paid to the Participant and, in so doing, may use negative discretion to decrease, but not increase, the amount of the Award otherwise payable to the Participant based upon such performance.

  • The maximum Performance Unit Award and the maximum Performance Compensation Award that any one Participant may receive for any one Performance Period shall not together exceed 1,000,000 Shares and $1,000,000 in cash.

  • Requests for Temporary Performance Compensation shall be reviewed by the Human Resources Director or designee.

  • With respect to each such Performance Compensation Award, the Committee shall establish, in writing within the time required under Code Section 162(m), a “Performance Period,” “Performance Measure(s)”, and “Performance Formula(e)” (each such term being hereinafter defined).

  • A Participant shall be eligible to receive payment in respect of a Performance Compensation Award only to the extent that the Performance Measure(s) for such Award is achieved and the Performance Formula(e) as applied against such Performance Measure(s) determines that all or some portion of such Participant’s Award has been earned for the Performance Period.


More Definitions of Performance Compensation

Performance Compensation means the cash amount payable to a Participant pursuant to this Plan; provided that the Committee may determine from time to time that all or a portion of amounts payable to a Participant or Participants pursuant to the Plan shall be made in the form of shares of the Company’s common stock reserved for issuance under the Company’s 2003 Equity Incentive Plan, as amended, or any successor plan that has been approved by the Company’s shareholders.
Performance Compensation means Compensation the amount of which, or the entitlement to which, is contingent on the satisfaction of preestablished organizational or individual performance criteria relating to a performance period of at least twelve consecutive months, determined in accordance with Treasury Regulations section 1.409A-1(e) (or any successor provision).
Performance Compensation means any amount earned by and payable to an Eligible Employee under the Performance Plan in respect of any Plan Year thereof.
Performance Compensation means the GENENTECH Performance ------------------------ Compensation or the INTEGRILIN Performance Compensation
Performance Compensation means the cash amount payable to a Participant pursuant to this Plan.
