Offshore Collateral Agent definition

Offshore Collateral Agent has the meaning set forth in the preamble hereof;
Offshore Collateral Agent means The Bank of New York Mellon, in its capacity as Offshore Collateral Agent of the Finance Parties, and any successor thereto pursuant to Section 13.12.
Offshore Collateral Agent means Citibank N.A.

  • The Offshore Collateral Agent shall not be liable for any losses, costs or expenses arising directly or indirectly from the Offshore Collateral Agent's reliance upon and compliance with such Instructions notwithstanding such directions conflict or are inconsistent with a subsequent written instruction.

  • Subject to the appointment and acceptance of a successor Administrative Agent, Documentation Agent, Environmental and Social Agent, Technical Agent, or Onshore Collateral Agent, or Offshore Collateral Agent, as applicable, as provided below, the relevant Agent shall, upon notice from the Majority Lenders and with the prior written consent of the Borrower (which consent shall not be required for so long as a Default has occurred and is continuing), resign at the time specified in the aforementioned notice.


More Definitions of Offshore Collateral Agent

Offshore Collateral Agent means The Bank of New York, acting as collateral agent under the Offshore Share Pledge Agreement.
Offshore Collateral Agent or "Onshore Collateral Agent" shall mean such successor agent effective upon its appointment, and the rights, powers and duties of the former Offshore Collateral Agent or Onshore Collateral Agent, as applicable, shall be terminated, without any other or further act or deed on the part of such former Collateral Agent (except that the applicable Collateral Agent that is resigning or being removed shall deliver all Collateral then in its possession to the successor Offshore Collateral Agent or Onshore Collateral Agent, as applicable) or any of the other Secured Parties. After any Collateral Agent's resignation or removal hereunder as Offshore Collateral Agent or Onshore Collateral Agent, as applicable, the provisions of this Article VIII shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Offshore Collateral Agent or Onshore Collateral Agent, as applicable.
