No Revocation. The voting agreements contained herein are coupled with an interest and may not be revoked during the term of this Agreement.

Nothing in this Section 4 shall be construed as limiting the provisions of Section 3 or 7(f) hereof.

The City shall not revoke or subsequently disapprove any approval or future approval for the development of the Project or the Property once issued by the City provided that the development of the Project or the Property is in accordance with such approval. Any disapproval by the City shall state in writing the reasons for such disapproval and the suggested actions to be taken in order for approval to be granted.

The Borrower shall not revoke any direction or authorization required or authorized to be given to the collection bank(s) and Agent pursuant to Article 2 or elsewhere herein unless authorized pursuant to an arbitration award made in an arbitration proceeding to which Lakes and the Borrower are parties.

Subscriber agrees that Subscriber cannot cancel, terminate, or revoke this Agreement or any agreement of Subscriber made hereunder, and this Agreement shall survive the death or legal disability of Subscriber and shall be binding upon Subscriber’s heirs, executors, administrators, successors, and permitted assigns.

The Purchaser and each Beneficial Purchaser, if any, agree that this offer is made for valuable consideration and may not be withdrawn, cancelled, terminated or revoked by the Purchaser without the consent of the Company. Further, the Purchaser and each Beneficial Purchaser, if any, expressly waive and release the Company from all rights of withdrawal or rescission to which the Purchaser and each Beneficial Purchaser, if any, might otherwise be entitled pursuant to the Securities Laws or otherwise at law.
