No Governmental Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Governmental Order which is in effect and has the effect of making the Merger or any of the other material transactions contemplated by this Agreement illegal or otherwise restraining or prohibiting the consummation of the Merger or any of the other transactions contemplated by this Agreement.
No Governmental Order. There shall be no order, writ, judgment, injunction, decree, stipulation, determination or award entered by or with any Governmental Authority that prohibits the transactions contemplated by this Agreement or renders it unlawful to consummate such transactions.
No Governmental Order. There shall be no Governmental Order in existence that prohibits the sale of the Transferred Assets or the assumption of the Assumed Liabilities or other transactions contemplated by the Transaction 50 Agreements, and there shall be no proceeding pending by any Governmental Authority seeking such a Governmental Order.
No Governmental Order. There shall be no Governmental Order in existence which expressly prohibits or materially restrains the transactions contemplated by this Agreement or materially impairs the value to be received by the Seller under this Agreement;
No Governmental Order. There shall be no Governmental Order in existence which expressly prohibits the transactions contemplated by this Agreement and the Ancillary Agreement;
No Governmental Order. There shall be no Law or Governmental Order in existence, enacted, promulgated, entered into or issued, in each case, that prohibits, enjoins, restricts or makes illegal the consummation of the transactions contemplated by this Agreement; and
No Governmental Order. No Governmental Order restraining, enjoining or prohibiting the consummation of the transactions contemplated by this Agreement shall be in effect; and
No Governmental Order. No court of competent jurisdiction shall have issued or entered any Governmental Order that is then in effect and that has the effect of making any of the transactions contemplated by this Agreement illegal or otherwise prohibiting their consummation and no litigation shall be pending against any of the parties to this Agreement which seeks to enjoin the transaction or render it illegal; and
No Governmental Order. (A) No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Governmental Order or Law which is in effect or shall have initiated (which is continuing) any action that has the effect of making (or is seeking to make) the transactions contemplated by this Agreement illegal or otherwise has the effect of restraining or prohibiting (or is seeking to restrain or prohibit) the consummation thereof; and (B) all actions by or in respect of or filings with any Governmental Authority required to permit the consummation of the Closing in accordance with the terms hereof shall have been obtained (other than those actions or filings that may, by their terms, be made after such Closing or which, if not obtained or made prior to the consummation of the transactions contemplated hereby, would not have a Material Adverse Effect on the Company or Protiva prior to or after the Closing or a material adverse effect on Monsanto Canada after the Closing or be reasonably likely to subject Monsanto Canada or any of its subsidiaries or any of their respective officers or directors to substantial penalties or criminal liability);
No Governmental Order. There is not in force any Governmental Order by or before any Governmental Authority of competent jurisdiction restraining, enjoining, prohibiting, invalidating or otherwise preventing the consummation of the Transactions.
