No Assignment or Transfer. Notwithstanding anything to the contrary in this Award Agreement, neither this Award Agreement nor any rights granted herein shall be assignable by the Participant. Neither this Award Agreement nor any rights granted herein shall be transferable by the Participant in any circumstances, except on the death of the Participant.
No Assignment or Transfer. You cannot assign or transfer your rights under this Agreement. Any assignment or transfer by you will be ineffective.
No Assignment or Transfer. Retailer may not assign, delegate, subcontract, or in any way transfer this Contract, in whole or in part, including, without limitation, the authority to act as a Lottery Retailer and to sell Lottery Tickets or Shares in exchange for the receipt of payment of the retail price of such Tickets or Shares. Except for a security interest granted to Lottery, Retailer may not grant a security interest or lien in, or otherwise encumber, any payments received from the sale of Lottery Tickets or Shares. If Retailer advertises the sale of its Business, the advertisement shall not imply or state that the sale of the Business transfers any right to sell Lottery Tickets or Shares. Retailer shall not state or imply during any sale negotiations that its rights under this Contract transfer to any new owner.
No Assignment or Transfer. Neither you nor any other person may assign, pledge, or transfer ownership of this contract or any benefits under its terms. Any such action will be void and of no effect.

The Award granted hereunder may not be sold, pledged, assigned, hypothecated, transferred, or disposed of in any manner other than by will or by the laws of descent or distribution. No transfer by will or the laws of descent and distribution shall be effective to bind the Company unless the Committee shall have been furnished with (i) written notice thereof along with such evidence as the Committee may deem necessary to establish the validity of the transfer and (ii) an agreement by the transferee to comply with all the terms and conditions of the Award that are or would have been applicable to the Grantee and to be bound by the acknowledgements made by the Grantee in connection with the grant.
No Assignment or Transfer. This Agreement and the rights of Franchisee hereunder may not be sold, assigned, pledged or transferred in whole or in part by Franchisee without the prior written consent of the City.

The Executive shall not sell, pledge, transfer, subject to lien, assign, encumber or otherwise hypothecate the RSUs or any underlying shares unless and until the RSUs have vested, and shares have been issued, recorded and delivered and all other terms and conditions set forth in this Agreement and the Plan have been satisfied. Any attempt to do so contrary to the provisions of this Agreement shall be null and void.
No Assignment or Transfer. The making of the Specified Mortgage shall not be deemed to constitute an assignment or transfer of the Lease or Leasehold Estate so as to require the Specified Mortgagee to assume the performance of any of the Lessee's obligations under the Lease.
