No Approval. No approval of any third party including, but not limited to, any governmental authority is required in connection with the consummation of the transactions set forth in this Agreement.
No Approval. No consent or approval of any Governmental Authority or any securities exchange was or is necessary to the validity of the pledge effected hereby.
No Approval. By the Company or the Acquiror (and with written notice to the other party), in each case if its Board of Directors so determines by a vote of a majority of the members of its entire Board, in the event the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated by this Agreement shall have been denied by final nonappealable action of such Governmental Authority.
No Approval. No authorization or approval or other action by, and no notice to or filing with, any governmental authority or regulatory body is required for the due execution, delivery and performance by Borrower of this Agreement or any Other Agreement to which Borrower is a party except for which the same has been obtained and remains effective.
No Approval. By the Company or Parent, if its Board of Directors so determines by a vote of a majority of the members of its entire Board, in the event (i) the approval of any Governmental Authority required for consummation of any of the Transactions shall have been denied by final nonappealable action of such Governmental Authority or an application therefor shall have been permanently withdrawn at the request of a Governmental Authority or (ii) the shareholder approval referred to in Section 7.01(a) herein is not obtained at the Company Meeting.
No Approval. By the Company or the Acquiror, if (1) the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated by this Agreement shall have been denied by final nonappealable action of such Governmental Authority, or such Governmental Authority shall have requested the permanent withdrawal of any application therefor, or any such approval shall be made subject to any condition or restriction described in the proviso to Section 7.01(b) or (2) the approval of the Company's stockholders required by Section 7.01(a) is not obtained at the Meeting.
No Approval. Nothing in this Agreement shall be deemed to constitute regulatory or scientific approval of the use of any particular product or technology. The Cooperator agrees that (a) nothing in this Agreement relieves it of any obligation to comply with applicable federal, state, or local laws, regulations, or requirements, and (b) possession or acquisition by the Laboratory of Subject Data, or other information generated or otherwise acquired pursuant to performance of work under this Agreement, does not constitute knowledge of or possession or receipt of such data or information by or on behalf of the Administrator of the Environmental Protection Agency for purposes of statutory or regulatory reporting requirements such as, but not limited to, Section 8 of the Toxic Substances Control Act.
No Approval. No authorization or approval or other action by, and no ----------- notice to or filing with, any federal, state, or local government body, agency, or authority is required for the due execution, delivery, and performance by Borrower of this Agreement, the Notes, or the Loan Documents.
No Approval. No authorization, consent, or approval of any governmental authority is required for the execution and delivery by Seller of this Agreement or the performance of its obligations hereunder.
No Approval. By Premier or United, if its Board of Directors so determines by a vote of a majority of the members of its entire Board, in the event (i) the approval of any Governmental Authority required for consummation of the Merger and the other transactions contemplated by this Agreement shall have been denied by final nonappealable action of such Governmental Authority or (ii) any stockholder approval required by Section 8.01(a) herein is not obtained at the Premier Meeting.
