Material Event definition

Material Event has the meaning set forth in Section 3(i) hereof.

Material Event or “Material Information” shall mean such event or information as set out in the Schedule or as may be determined in terms of Clause 3 of the Policy. In the Policy, the words, “material” and “materiality” shall be construed accordingly.

Examples of Material Event in a sentence

• Nothing in this Disclosure Agreement shall be deemed to prevent the PAC and the Authority from disseminating any other information, using the means of dissemination set forth in this Disclosure Agreement or any other means of communication, or including any other information in any Annual Financial Information or notice of occurrence of a Material Event, in addition to that which is required by this Disclosure Agreement.

• Each Material Event Notice shall be so captioned and shall prominently state the date, title and CUSIP numbers of the Bonds.

• If the PAC or the Authority chooses to include any information in any Annual Financial Information or notice of occurrence of a Material Event in addition to that which is specifically re- quired by this Disclosure Agreement, the PAC and the Authority shall have no obligation under this Disclosure Agreement to update such information or include it in any future Annual Financial Information or notice of occurrence of a Material Event.
