Material Authorization definition

Material Authorization means any approval, permit, licence or similar authorization (including any trademark, trade name or patent) from, and any filing or registration with, any Governmental Body required by the Borrower or any Subsidiary to own the Assets or to carry on its Business where the failure to have such approval, permit, licence, authorization, filing or registration would reasonably be expected to have a Material Adverse Effect.
Material Authorization means any Authorization to which the Company or any of its Subsidiaries is a party or by which it is bound that is material to the Company and its Subsidiaries, taken as a whole.
Material Authorization means, with respect to any Person, any approval, permit, license or similar authorization (including any trademark, trade name or patent) from, and any filing or registration with, any Governmental Body or other Person required by such Person to own its property and assets or to carry on its business as presently carried on by it or as contemplated hereunder to be carried on by it in each jurisdiction in which it does so or is contemplated to do so or where the failure to have such approval, permit, license, authorization, filing or registration would have a Material Adverse Effect upon such Person or upon its ability to perform its obligations under any of the Instruments.

  • To return your Product for out of warranty service, contact Xxxxxxxxx Electric Customer Service for a Return Material Authorization (RMA) number and follow the appropriate steps outlined in "Return Procedure".

More Definitions of Material Authorization

Material Authorization shall have the meaning set forth in Section 3.6.1.
Material Authorization means, with respect to the Corporation or any Subsidiary, any approval, permit, licence or similar authorization from, and any filing or registration with, any Governmental Body required by such Person to own its property and assets or to carry on its business in each jurisdiction in which it does so or is contemplated to do so, where the failure to have such approval, permit, licence, authorization, filing or registration would have a material adverse effect upon its business, financial condition or prospects;

Material Authorization means the (a) governmental or municipal approval, franchise and authorization, (b) right-of-way agreement and pole attachment agreement, and (c) lease, license, consent or other agreement, including agreements of underlying landowners necessary for the Constructing Party to construct, install, maintain and repair its System, the Nonconstructing Party's Fibers and other equipment and appurtenances thereto associated with the Nonconstructing Party's IRU and the default of which would cause a material and adverse effect on the Nonconstructing Party's use of its IRU.
Material Authorization means, with respect to any Person, any approval, consent, franchise, quota, permit (including any metallic and industrial minerals permit or timber permit), licence (including any license of occupation, license for construction and development or timber license), lease (including any surface mineral lease, surface material lease, metallic and industrial minerals lease or secondary mineral lease), or similar authorization (including any trademark, trade name or patent) from, and any filing or registration with, any Governmental Body or other Person required by the first-mentioned Person to own, lease, develop, construct, occupy, access or operate its Property or to carry on its business as presently carried on by it or as contemplated hereunder to be carried on by it in each jurisdiction in which it does so or is contemplated to do so, where the failure to have such approval, consent, franchise, quota, permit, licence, lease, authorization, filing or registration would constitute a Material Adverse Change, including, without limitation, the Specified Material Authorizations.
