Management Directors has the meaning set forth in Section 4.2(b)(i).

Management Directors means, at the Closing Date, Directors who were deemed to be Management Directors in accordance with Section 4.1(b) and, after the Closing Date, Directors who are designated for such position in accordance with Section 4.1.
