Initial Award definition

Initial Award means an Option granted to an Eligible Director who meets the specified criteria pursuant to Section 7(c)(ii).

Initial Award means an award of Options pursuant to Section 5(a) of the Plan.

Initial Award means any and all Awards granted to a Participant in connection with such Participant’s commencement of Service with the Company.

Examples of Initial Award in a sentence

• The awards described in this Section 2(a) shall be referred to as “Initial Awards.” No Non-Employee Director shall be granted more than one Initial Award.

• The awards described in this Section 2(b) shall be referred to as “Subsequent Awards.” For the avoidance of doubt, a Non-Employee Director elected for the first time to the Board at an annual meeting of the Company’s stockholders shall only receive an Initial Award in connection with such election, and shall not receive any Subsequent Award on the date of such meeting as well.

• The awards described in this Section II(A) shall be referred to as “Initial Awards.” No Non-Employee Director shall be granted more than one Initial Award.

• Unless the Board otherwise determines, any portion of an Initial Award or Subsequent Award which is unvested or unexercisable at the time of a Non-Employee Director’s termination of service on the Board as a Non-Employee Director shall be immediately forfeited upon such termination of service and shall not thereafter become vested and exercisable.

• The awards described in this Section 2(b) shall be referred to as “Initial Awards.” For the avoidance of doubt, no Non-Employee Director shall be granted more than one Initial Award.

More Definitions of Initial Award

Initial Award means an Option or Stock Appreciation Right granted pursuant to Section 7(b) of this Plan.

Initial Award means an equity award granted pursuant to Section 6 of the Plan in connection with a Non-Employee Director’s initial election or appointment to the Board.

Initial Award means an Option for 3,500 shares of Stock.

Initial Award means, with respect to any Participant, an Award made prior to May 21, 2013 under the Plan to such Participant if, and only if, prior to the grant of such Award such Participant had not previously been granted (i) an Award under this Plan, (ii) an “Award” under KAYAK Software Corporation’s 2005 Equity Incentive Plan (as the same has been in effect at any time, including as amended, and as amended and restated, from time to time) and/or (iii) an “Award” under KAYAK Software Corporation’s 2004 Stock Incentive Plan (as the same has been in effect at any time, including as amended from time to time).

Initial Award shall have the meaning assigned to such term in Section 4.01 hereof.

Initial Award means an Option granted to an Eligible Director pursuant to Section 8(c)(i).

Initial Award means an Award granted upon a Director’s commencement of service on the Board, pursuant to the Director Compensation Practices.
