Foreign Parent definition

Foreign Parent means, with respect to any Foreign Subsidiary that is a Borrower or an Applicant Borrower, any other Foreign Subsidiary that such Borrower or Applicant Borrower constitutes a Subsidiary of.
Foreign Parent means Parent, Valcon Acquisition B.V., The ▇▇▇▇▇▇▇ Company B.V. and any other direct or indirect parent entity of a Covenant Party that is a Subsidiary of Parent.
Foreign Parent means The ▇▇▇▇▇▇▇ Company B.V. (f/k/a VNU Group B.V.), VNU Intermediate Holding B.V. and any other direct or indirect parent organization of a Covenant Party that is a subsidiary of The ▇▇▇▇▇▇▇ Company B.V.

Examples of Foreign Parent in a sentence

  • No later than thirty (30) days following the date of this Agreement, Parent shall provide or make available to the Company all plan documents with respect to each material Foreign Parent Benefit Plan or a written summary of such plan.

  • Except as would not reasonably be expected to result in a Parent Material Adverse Effect, there are no pending or, to the Knowledge of Parent, threatened, actions, claims or lawsuits against or relating to any Foreign Parent Benefit Plan or against any fiduciary of any Foreign Parent Benefit Plan with respect to the operation of such plan (other than routine benefits claims).

  • Foreign Parent has complied with all such registration rights commitments, and no penalties or additional issuances are due or have been waived as the result of any failure to file, become effective or maintain any registrations statements under such registration rights commitments.

  • The aggregate amount of all Damages for which a Stockholder shall be liable under this Section 6.2 shall not exceed the amount determined by multiplying the Stockholder Escrow Shares comprising the Stockholder Escrow Fund by the volume weighted average price for the Foreign Parent Stock for the ten (10) consecutive trading days immediately prior to the Closing Date (“Deemed Value”).

Foreign Parent has the meaning in the introductory paragraph of this Agreement.
