Foreign Purchaser definition

Foreign Purchaser means a Purchaser that is not a U.S. Person.

Foreign Purchaser has the meaning assigned thereto in Section 8(d).

• Each Foreign Purchaser further represents that either (i) it does not now, nor will it after the Closing, hold 10% or greater, directly or indirectly, of the voting interest in the Company or (ii) if it does or will, such Foreign Purchaser shall notify the Company and shall provide such information as the Company may reasonably request to comply with state, federal, or local regulations.

• If the establishment reports unregistered pesticides being produced for export the inspector should document Foreign Purchaser Acknowledgement Statements (FPAS) for the unregistered products.

• In no event may Purchaser Parent or its Affiliates transfer a Purchaser Group Plan or Foreign Purchaser Group Plan (or any related Liabilities) that is not maintained by Purchaser or a Subsidiary thereof as of the date of this Agreement to Purchaser or a Subsidiary thereof.

Foreign Purchaser shall have the meaning assigned thereto in Section 8(d).

Foreign Purchaser means any Purchaser that is not a “United States person” as defined in Code Section 7701(a)(30).

Foreign Purchaser means any Purchaser that is organized under the laws of a jurisdiction other than that in which the Sellers are located and any other Purchaser that is not a United States person within the meaning of Section 7701(a)(30) of the Code. For purposes of this definition, the United States of America, each State thereof and the District of Columbia shall be deemed to constitute a single jurisdiction.

Foreign Purchaser means any Purchaser that is not organized under the laws of the United States of America or a state thereof.
