A holder of a pledge or right of usufruct (vruchtgebruik) in respect of the Company’s Shares can also be subject to the notification obligations of the FMSA, if such person has, or can acquire, the right to vote on the Company’s Shares or, in the case of depository receipts, the underlying Company’s Shares.
Any person may qualify as a parent for purposes of the FMSA, including an individual.
Non-compliance with the notification obligations under the FMSA could lead to criminal fines, administrative fines, imprisonment or other sanctions.
