First Lien Notes Agent definition

First Lien Notes Agent means U.S. Bank, National Association, as the trustee under the indenture governing the First Lien Notes or any successor thereto acting in such capacity.

First Lien Notes Agent shall have the meaning assigned to that term in the introduction to this Agreement and shall include any successor thereto.

First Lien Notes Agent for the First Lien Notes Secured Parties (as defined below).

Examples of First Lien Notes Agent in a sentence

• Each First Lien Notes Agent, on behalf of its Series of First Lien Claimholders, hereby irrevocably, absolutely, and unconditionally waives any and all rights or powers any First Lien Claimholder may have at any time under applicable law or otherwise to have the ABL Priority Collateral, or any part thereof, marshaled upon any foreclosure or other enforcement of the ABL Agent’s Liens.

• None of the First Lien Notes Agent, any First Lien Notes Secured Party, any Future Notes Indebtedness Secured Party, the ABL Agent or any ABL Secured Party waives any claim it may have on grounds of commercial reasonableness.

• The ABL Agent is not and shall not be deemed to be a fiduciary of any kind for the First Lien Notes Agent, the First Lien Notes Secured Parties, the Future Notes Indebtedness Secured Parties, or any other Person.

• All proceeds of such insurance shall be remitted to the ABL Agent or the applicable First Lien Notes Agent, as the case may be, and each of the First Lien Notes Agent and ABL Agent shall cooperate (if necessary) in a reasonable manner in effecting the payment of insurance proceeds in accordance with Section 4.1 hereof.

• No amendment or waiver of any provision of this Agreement nor consent to any departure by any Party hereto shall be effective unless it is in a written agreement executed by the First Lien Notes Agent and the ABL Agent and then such waiver or consent shall be effective only in the specific instance and for the specific purpose for which given.

More Definitions of First Lien Notes Agent

First Lien Notes Agent means The Bank of New York Mellon Trust Company, N.A. in its capacity as Trustee and Collateral Agent under the First Lien Notes Indenture.

First Lien Notes Agent means, collectively, (a) the Original Notes Agent, (b) the collateral agent for any Future Senior Notes Indebtedness, and, (c) from and after the date of execution and delivery of a Notes Substitute Indenture in respect of Future Senior Notes Indebtedness, the agent, collateral agent, trustee or other representative of the lenders or other holders of the indebtedness and other obligations evidenced thereunder or governed thereby, in each case, together with its successors in such capacity.

First Lien Notes Agent has the meaning assigned to that term in the Preamble to this Agreement.

First Lien Notes Agent means Wells Fargo Bank, National Association, together with its successors and assigns in such capacity.

First Lien Notes Agent has the meaning assigned to such term in the First Lien Intercreditor Agreement.

First Lien Notes Agent means the Agent and/or Indenture Trustee under the First Lien Notes Indenture.

First Lien Notes Agent shall have the meaning set forth in the recitals.
