Finally Complete means that the construction of an improvement to the Licensed Premises has been completed to such an extent that the Commissioner certifies in writing that it has been finally completed and that no further work is required by Licensee pursuant to this License in connection with the construction of said improvement. Notwithstanding the issuance of any such certification, Licensee shall be liable for any claims related to such construction and shall be responsible for any other obligations (including maintenance, repair and indemnity) set forth in this License Agreement.

Finally Complete means, when used with respect to the CONFIDENTIAL work to be performed under the Design-Build Agreement, “final completion” as defined in the Design-Build Agreement, and with respect to the Infrastructure Work, the final completion of all aspects of such work and improvements in accordance with all Applicable Laws and in accordance with the requirements for the same contained in this Agreement and in the County Development Agreement and the applicable construction contracts, in each case including the completion of the punch-list type items referred to in the definition of the term “Substantial Completion.” Substantial Completion of all work and improvements is a prerequisite to Final Completion of the same.

Finally Complete and "Finally Completion" has the meaning set forth in Section 6.2.

All work associated with the Development Project shall be diligently pursued until Finally Complete and shall be undertaken and completed in a good and workmanlike manner; Lien free; using licensed contractors for all construction work; using new materials, unless otherwise approved by Xxxxxx; and in compliance with all Applicable Laws, as well as the requirements of the Franchise Agreement and PIP.
Borrower will cause the Development Project to be Finally Complete by the date required under the PIP for such Development Project (the “Completion Deadline”).

More Definitions of Finally Complete

Finally Complete or “Final Completion” and similar words and phrases mean that the Work, including all punch list items, is fully completed and usable by the Owner and that all corrective action required in connection with any final inspection has been completed. The Final Completion Date of the Work is the date specified on page 2 of the Construction Agreement in the Section labeled Time & Dates.

Finally Complete mean the stage in the progress of the Work for any LLTP Phase or Preconstruction Phase, after Substantial Completion, when all remaining items of Work for such phase have been completed, all requirements of the Contract Documents related to such phase are satisfied and the CDOT Acceptance Letter for such phase can be issued. Portions of the phase may be separately and partially deemed Finally Complete at the discretion of the Principal Representative when that portion of the phase reaches such stage of completion and a partial CDOT Acceptance Letter for such phase can be issued.

Finally Complete means that the construction of a Capital Improvement to the Licensed Premises has been completed to such an extent that the Commissioner certifies in writing that it has been finally completed and that no further work is required by Licensee pursuant to this License Agreement in connection with the construction of said improvement. Any such certification shall be given or denied in a reasonably prompt fashion after the Licensee seeks same, and shall not be unreasonably withheld. Notwithstanding the issuance of any such certification, Licensee shall be liable for any claims related to such construction and shall be responsible for any other obligations (including maintenance, repair and indemnity) set forth in this License Agreement, except as otherwise set forth herein.

Finally Complete means the applicable Horizontal Improvements, Deferred Infrastructure (or Component of either of them) have been constructed in accordance with all of the conditions set forth in Section 15.5 of the DDA, as determined by the Permitting Agency (Chief Harbor Engineer for Public Spaces and the Director of Public Works for all other Horizontal Improvements), after consultation with the City Agencies with jurisdiction.

Finally Complete means the stage in the progress of the Work when the Work is completed in accordance with the terms of the Contract Documents and DBT has satisfied all of its obligations under this Agreement and the Contract Documents, including (a) all Governmental Authorities have issued any written approvals or certificates as are necessary for the use of the Project by the general public, (b) all Punch List items have been completed or corrected, and (c) DBT has completed the Project close-out requirements in accordance with the Commissioning and Close-Out Plan and the other Contract Documents.
