Facility A Advance means (a) a direct advance by a Lender to the Canadian Borrower by way of Canadian Rate Advance, US Base Rate Advance or SOFR Advance pursuant to Section 3.2, (b) the Acceptance of Bankers’ Acceptances pursuant to Section 10.1 and BA Equivalent Advances pursuant to Section 10.3, (c) the issuance of a Letter of Credit pursuant to ARTICLE 11, and (d) unless the context otherwise requires, a Swingline Advance.

Facility A Advance means an advance made or to be made under Facility A (other than a Term-out Advance) or the principal amount outstanding for the time being of that advance.

Examples of Facility A Advance in a sentence

• The Facility A Lenders shall deliver the proceeds of such Facility A Advance to the Administrative Agent by 12:00 noon (Chicago time) on the applicable Borrowing Date for application to the Swing Line Bank’s outstanding Swing Line Loans.

• The Borrower shall be entitled to obtain, on the Closing Date, only one Facility A Advance and only one Facility B Revolver Advance and, in any single Business Day after the Closing Date, only one Facility A Advance and only one Facility B Revolver Advance, any of which Advances may (subject to the provisions of Section 2.05) be comprised in whole or in part of any Eurodollar Rate Advance.

• If the Borrower has delivered a Conversion Request pursuant to Clause 7.4 (Request for Conversion), each Facility A Advance (or any part thereof) identified for conversion in such Conversion Request outstanding on the relevant Facility A Revolving Termination Date shall automatically be converted into a Term-out Advance.

• The Borrower shall repay each Facility A Advance on the last day of its Interest Period.

• The payment by the Issuing Bank of a draft ------------------------- drawn under any Letter of Credit shall constitute for all purposes of this Agreement the making by the Issuing Bank of a Facility A Advance, which shall bear interest at the Base Rate Basis, in the amount of such draft (but without any requirement for compliance with the conditions set forth in Article 3 hereof).

Facility A Advance means an advance made to the Borrower under Facility A or any advance to the Borrower converted to a Facility A Advance pursuant to clause 6.3;
