Escrow Term definition

Escrow Term has the meaning set forth in Section 2(e)(i) below.

Escrow Term means the period commencing on the date of the execution of this Agreement and ending on the date of the release from escrow of the funds and documents held by the Escrow Agent under the Escrow Agreement, and (ii) "New York Regulatory Consent" shall mean the consent of the New York State Public Service Commission to the transfer of the Shares contemplated under this Agreement.
