Earned PSUs means the number of PSUs that are determined to be earned based on the attainment level of the Performance Objectives set forth in Schedule C of this Agreement and eligible to vest in accordance with the provisions of Article III.

Earned PSUs means the number of PSUs subject to an Annual Tranche or subject to the Cliff Tranche that are earned based on the actual level of achievement of the applicable Performance Goal, as certified by the Committee on the Determination Date, or that are otherwise earned in accordance with this Award Agreement. The number of Earned PSUs may range from 0% to 225% of the number of Target PSUs.

Except as otherwise provided in this Award Agreement, the Earned PSUs (if any) relating to each Annual Tranche or to the Cliff Tranche, as applicable, determined based on the actual level of achievement of the Performance Goal relating to the applicable Performance Period as certified by the Committee, shall vest on the applicable Determination Date for such Performance Period contingent upon your continued employment through such Determination Date.
Unless otherwise specifically set forth in this Exhibit A, no PSUs shall become Earned PSUs if you incur a Separation from Service prior to the third anniversary of the Grant Date.
If, during the two-year period commencing on a Change of Control (the “CIC Period”), your employment terminates by reason of your Disability, your employment is involuntarily terminated by the Company without Cause or you resign for Good Reason, then all Earned PSUs (computed in accordance with Section 3(c)) that remain outstanding at the time of your termination of employment will immediately vest.
If Earned PSUs vest pursuant to the foregoing provisions of this Section 3, then as soon as practicable following the date on which such Earned PSUs become vested and no later than 30 days thereafter, the Company shall deliver to you or your legal representative one Share for each Earned PSU that has become vested.
In the event of a Change of Control, the number of Earned PSUs will be calculated and determined by the Committee immediately prior to the Change of Control in accordance with clauses (i), (ii), (iii) and (iv) below.

More Definitions of Earned PSUs

Earned PSUs means the performance stock units that are earned in accordance with this Agreement, as described in Section 3 hereof.

Earned PSUs means the Target PSUs multiplied by the Performance Multiplier set forth above.

Earned PSUs means: with respect to each Company PSU Award, the number of performance share units earned under the terms of the applicable award agreement, but with the applicable total shareholder return metric determined using a per share price equal to the Merger Consideration and the EBITDA-based metric determined based on actual performance as of the end of the performance period applicable to such Company PSU Award.

Earned PSUs means the number of Initial PSUs earned pursuant to the performance terms described herein.

The “Weighted Performance” is the weighted average of the Company’s level of performance achievement, in percentage terms, on the Revenue Growth Objective ([•]% weighting) and the Free Cash Flow Objective ([•]% weighting) The number of Earned PSUs shall equal the product of (i) the Target Number of PSUs Granted, (ii) the Weighted Performance and (iii) the Absolute Stock Price Modifier; provided, however, that the number of Earned PSUs shall not be greater than [•]% of the Target Number of PSUs Granted. Any PSUs that do not become Earned PSUs based on performance during the PSUs Performance Period shall not be eligible to vest pursuant to this Agreement and shall immediately be forfeited to the Company for no consideration upon expiration of the PSU Performance Period.

Earned PSUs means, with respect to a Company PSU Award, the number of restricted stock units underlying such Company PSU Award determined based on: (x) for each completed fiscal year during the performance period applicable to such Company PSU Award that ends at least one month prior to the Effective Time, actual performance as determined in accordance with the applicable award agreement, and (y) for each fiscal year during the performance period applicable to the Company PSU Award that does not end at least one month prior to the Effective Time, target performance for such fiscal year.

Earned PSUs means the percentage of the Target PSUs, if any, that are earned based on achievement of the Company’s Constant Currency Revenue Growth in accordance with this Exhibit A.
