An advance of Loan proceeds for the purpose of paying the Draw Fee in accordance with that paragraph of Section 3.1 above that is captioned "Draw Fee" is referred to in this Agreement as a "Draw Fee Advance".
If the Company elects to exercise its call rights under Section 2.3, then the Company agrees to issue the Draw Fee to the Backstopper, or its designated Affiliate, on the Closing Date.
