If the Executive is actively employed by the Company on the earlier to occur of (i) the date of the sale of the Transmission and Distribution Business Unit, or (ii) May 31, 2000, the Executive shall be entitled to receive a lump sum cash payment of one-half (1/2) of the Executive's annual base salary then in effect, which shall be paid within fifteen (15) working days after the applicable date specified in subsection (i) or (ii) above.
