Converted Options definition

Converted Options shall have the meaning as set forth in Section 3.5(a) of the Agreement.

Converted Options means the options to purchase Shares of the Company to be granted under this Plan, in connection with the Distribution, to employees of the Company and its Subsidiaries as replacement options for the Original Options;

Converted Options means the options to purchase Shares into which stock options that were originally issued under The Brink’s Company Non-Employee Directors’ Stock Option Plan or The Brink’s Company Non-Employee Directors’ Equity Plan are converted pursuant to the EMA Agreement.

Examples of Converted Options in a sentence

• As of the Effective Time, all Company Options shall no longer be outstanding and each holder of Converted Options shall cease to have any rights with respect to such Company Options, except as set forth in this Section 2.08(a).

• With respect to any holder of Company Stock Options, the portion of the consideration receivable by such holder under this Agreement shall be aggregated for all Company Stock Options held by such holder, as applicable, and, following such aggregation, any cash payable pursuant to a holders’ Cash Converted Options shall be rounded to the nearest whole cent.
