Contribution Shares definition

Contribution Shares has the meaning ascribed to it in the recitals.

Contribution Shares means Shares to be contributed to Holdco in exchange for Holdco Units in accordance with the Contribution Agreement, including Shares contributed to Holdco pursuant to the Contribution Agreement by shareholders of the Company who have executed and delivered Letters of Transmittal to the Company prior to the Effective Time and who are “accredited investors” (as defined in Section 501(a) of the Securities Act of 1933, as amended).

Contribution Shares has the meaning set forth in the Section 2.3.

Examples of Contribution Shares in a sentence

• The parties agree and acknowledge that the contribution of the Contribution Shares to IEP in exchange for the Exchange Units is intended to qualify as a tax-free contribution to a partnership under Code Section 721(a) and no party, on a Tax Return or otherwise, shall, except to the extent required by Law, take any position inconsistent with such treatment.

• For the avoidance of doubt, in such event, Investor shall have no claim against Parent other than the right to receive such Rollover Shares and Cash Contribution, as applicable, upon return of the Equity Contribution Shares and/or Cash Contribution Shares.

Contribution Shares means, in respect of each Contributor, such number of shares in the share capital of PharmGenomics with such nominal value and such consecutive number as set out opposite his, her or its name in ‎Schedule 1;
