Basic Subscriber definition

Basic Subscriber means a “Basic Video Customer” as determined pursuant to the Seller Subscriber Accounting Policy.
Basic Subscriber means, with respect to any System, as of any date of determination, any Subscriber to a System at the regular basic monthly subscription rate (including discounted rates offered in the ordinary course of business consistent with past practice) for at least broadcast basic cable service (either alone or in combination with any other service) for such System, who has rendered payment of one month's service and who has not more than Five Dollars ($5.00) more than two (2) months past due.
Basic Subscriber means as of any date of determination, without duplication, the sum of all of the following which are receiving basic cable television service provided by the Systems:

More Definitions of Basic Subscriber

Basic Subscriber means any person who pays Seller the full monthly price (but including a subscriber who receives a senior citizen discount, but not including a subscriber who receives any other discount) for Basic CATV Services in accordance with standard rates charged by Seller as set forth on Schedule 1, who was not solicited since March 14, 1996, to purchase such services by any promotions, offers of discounts, or extraordinary marketing techniques which promotions, discounts, or marketing techniques were inconsistent with Seller's previous business practices, and who has paid in full without discount (except for senior citizen discounts) at least one monthly payment in the ordinary course of business for CATV services and who is not pending disconnection for any reason (other than non-payment of a delinquent ▇▇▇▇ in an amount less than Ten and 01/100 Dollars ($10.01), and who is not delinquent in payment for an amount in excess of Ten and no/100 Dollars ($10.00) for such CATV services. For this purpose, a Subscriber shall be delinquent if any part of his or her account is more than sixty-two (62) days past due from the invoice date.
Basic Subscriber means, as of any date, the aggregate of all of the following that are receiving the lowest level of programming services offered: (a) private residential customer accounts that are billed by individual unit (regardless of whether such accounts are in single family homes or in individually billed units in apartment houses and other multi-unit buildings) (excluding "second connects" or "additional outlets," as such terms are commonly understood in the Broadband Industry), each of which shall be counted as one Basic Subscriber, (b) bulk bill residential accounts not billed by individual unit, such as apar▇▇▇▇t houses and multi-family homes, provided each unit in such apartment house or multi-family home shall be counted as one Basic Subscriber and (c) commercial bulk accounts such as hotels, motels and restaurants, provided each commercial account shall count as one Basic Subscriber; provided that, in all such cases, Basic Subscribers shall not include any free accounts.
Basic Subscriber means as at any date of determination thereof, the sum of (a) the total number of households (exclusive of "second outlets," as such term is commonly understood in the cable television industry, and exclusive of customers billed on a bulk-billing or commercial-account basis) subscribing on such date to at least the most basic tier of service offered by the CATV Business and paying the monthly service fees and charges imposed in respect of such service, and who are not, as of the Closing Date, 90 days or more in arrears in payment for service, as measured from the date that payment due became a receivable and (b) the total number of Equivalent Subscribers on such date.
Basic Subscriber means a Person (i) who subscribes to Basic Service, (ii) who pays the full rate for such service charged by the Company, any Cable Subsidiary or Cable Partnership, Acquiror or any Subsidiary of Acquiror (as the case may be) for detached single family homes, and (iii) whose accounts receivable owed for such service are not more than 60 days past due from the date of invoice; provided, that a hotel, motel, or other multi-living unit customer which pays less per living unit than the rates charged for detached single family homes shall be considered to be that number of Basic Subscribers which is equal to revenues from Basic Service provided to such hotel, motel, or other customer for the month immediately preceding the month in which this Agreement is executed and delivered (without regard to nonrecurring revenues from ancillary services such as installation fees) divided by the full rate charged for detached single family homes for such service.
Basic Subscriber means a “Basic Video Customer” as determined pursuant to the Seller Subscriber Accounting Policy. “Benefit Plans” has the meaning set forth in Section 3.10(a).
Basic Subscriber means a dwelling unit, including an apartment which is separately billed for cable television services within an apartment building, in respect of which the Borrower or any of its Restricted Subsidiaries has in effect an agreement to provide one or more of the basic cable television subscription services offered by the Borrower or any of its Restricted Subsidiaries and for which the Borrower or any of its Restricted Subsidiaries has received at least one full month's payment at the rate customarily charged by such Person within the applicable franchise area, except for those dwelling units for which payment is more than sixty (60) days past due, or for which notices of termination of service have been sent by the Borrower or any of its Restricted Subsidiaries or by the customer. As to bulk subscribers, such as hotels, motels, and apartments, billed on a bulk basis, the number of Basic Subscribers of the Borrower and its Restricted Subsidiaries shall be computed by dividing the monthly basic cable revenues received by the Borrower and its Restricted Subsidiaries from any such bulk subscribers by the average monthly subscription price received by the Borrower and its Restricted Subsidiaries from other Basic Subscribers within the portion of the System serving such bulk subscriber.
Basic Subscriber means as at any date of determination thereof, the sum of (a) the total number of households (exclusive of “second connection,” as such term is commonly understood in the cable television industry, and exclusive of customers billed on a bulk-billing or commercial-account basis) subscribing on such date to at least the most basic tier of service offered by the CATV Business and paying the monthly service fees and charges imposed in respect of such service (other than disputed items), and who are not, as of the Closing Date, 65 days or more in arrears in payment for service, as measured from the date that payment due became a receivable and (b) the total number of Equivalent Subscribers on such date; provided, however, that Basic Subscriber shall not include any customer (i) whose account has an outstanding balance (other than an amount of $10.00 or less) more than 65 days past due (with an account being past due one day after the payment due became a receivable) or who has a disconnect pending, (ii) who has been obtained by offers made, promotions conducted or discounts given during the 60 days immediately preceding the Closing which were outside the ordinary course of business, or (iii) who qualifies as a Basic Subscriber only because the related account (or any part thereof) has been compromised or written off other than in the ordinary course of business consistent with Transferor’s past practice.
